For the first nine months, operating cash flow was $33.7m, compared with cash used of $7.3m in 2022. Investing activities provided $78.7m, primarily reflecting investment maturities; financing activities used $156.1m, chiefly for convertible-note repurchases and repayment of the 2023 Notes. Cash, cash equivalents and restricted cash decreased $43.8m to $158.1m. The balance sheet also reported $55.96m of operating lease liabilities. Minimum contractual commitments totaled $626.6m, including note-related and other commitments; certain usage-based amounts are excluded.
Material changes and operating measures
- Q3 subscription growth more than offset lower services and other revenue, which management attributed mainly to weaker demand for discretionary professional services and lower Helix-related pass-through revenue. Transaction revenue rose modestly in Q3 but declined for the nine-month period.
- Gross margin improved year over year in both periods. Cost of revenue rose more slowly than revenue, though hosting, depreciation, capitalized-cost amortization and personnel costs increased.
- General and administrative expense increased 24.2% in Q3 and 20.2% year to date, including higher personnel and stock-based compensation, professional services and charitable contributions. Sales and marketing expense declined in Q3 but increased year to date.
- Subscription ARR at September 30 was $547.0m versus $477.9m a year earlier; Total ARR was $693.6m versus $633.7m. Remaining performance obligations were $1.57bn; management expects approximately 58% to be recognized over the next 24 months. These are company-defined operating measures, not forecasts of GAAP revenue.
- Registered Users were 22.0m at September 30, 2023, versus 20.9m a year earlier. No individual customer represented 10% or more of revenue in the reported periods.
Outlook, risks and unusual items
The filing gives no specific numerical revenue, profit or cash-flow guidance. Management expects subscription revenue to continue increasing as a share of revenue for the remainder of 2023. It expects continued pressure on professional services for the rest of 2023 and into 2024, or until macroeconomic conditions and financial-industry conditions stabilize or improve. The company says it will continue efficiency measures into 2024 and beyond, while also investing in product development, implementation and customer support, and infrastructure.
Management cites higher interest rates, inflation, recession concerns, bank-sector disruption and deposit outflows as risks to customers’ spending, lending activity, implementations and purchasing decisions. Q2 derives a substantial majority of revenue from U.S. regional and community financial institutions; weaker demand, customer consolidation or failures could affect growth. Other highlighted risks include competition, long and unpredictable sales and implementation cycles, cybersecurity and data privacy, third-party hosting and integrations, regulatory change, and the more usage-sensitive and potentially vulnerable FinTech/Alt-FI business. Management believes available liquidity and operating cash flows are adequate for cash needs over the next 12 months, while cautioning that additional financing may not be available on acceptable terms.
Unusual items include the $19.9m gain on debt extinguishment, which improved nine-month net loss and other income; without it, reported net loss would have been higher. The company also recorded lease and restructuring charges, including facility-related impairments and severance. It reported no goodwill impairment in the nine months, no material legal proceeding, and effective disclosure controls as of September 30. GAAP net losses continue, and stock-based compensation was $59.8m for the nine-month period.

- Whether reported ARR and remaining performance obligations convert into recognized revenue on expected timing and terms.
- Customer exposure to financial-sector disruption, consolidation and failures, and the company’s ability to manage cybersecurity, regulatory and third-party service risks.
