Changes, outlook, risks and unusual items

  • Revenue rose 23.8%, gross margin improved 1.7 percentage points, and operating cash flow moved to positive. Net losses narrowed, but Q2 remained unprofitable and reported an accumulated deficit of $493.9 million.
  • Q2 acquired ClickSWITCH for approximately $65.5 million in cash in April 2021, recording $50.6 million of goodwill. No goodwill impairment was identified for 2021.
  • Management reported a stronger sales environment in the second half of 2021 and expected 2022 purchasing and implementation trends to improve versus 2020 and the first half of 2021. It cautioned that prior-period delays would continue to affect 2022 revenue. The filing provides no clear numeric revenue or earnings guidance.
  • Management expected continued investment and operating losses for the foreseeable future. It cited intense competition for technical employees, wage inflation and potential increases in operating costs.
  • COVID-19-related delays and implementation disruptions affected bookings, revenue, gross margins and operating cash flow in 2020 and 2021. Further effects remained uncertain. Key risks also include cybersecurity and service outages, regulatory and privacy compliance, third-party dependencies, customer adoption and retention, competition, acquisitions, and convertible-note repayment, conversion and dilution.
  • Q2 planned to adopt convertible-debt accounting guidance in 2022; it estimated adoption would increase reported note liabilities by about $113–$116 million, reduce additional paid-in capital by about $155–$158 million and increase beginning accumulated deficit by about $41–$44 million, with lower noncash interest expense thereafter.
  • The filing reports no pending legal proceeding expected to have a material adverse effect. Management and the auditor reported effective internal control over financial reporting; the auditor issued unqualified opinions on the financial statements and controls.

Important facts for investors to verify

  • Reconcile the $677.2 million aggregate principal balance of convertible notes with the $551.6 million net carrying amount, maturities, conversion terms and potential dilution or cash requirements.
  • Assess whether revenue growth, 119% net revenue retention and the $1.40 billion of remaining performance obligations translate into durable future revenue; Q2 expected to recognize about 48% of that obligation within 24 months.
  • Review the drivers of positive operating cash flow, including deferred implementation and solution costs, and compare cash generation with continuing losses and investment needs.
  • Evaluate ClickSWITCH integration and returns, as well as the carrying value and impairment sensitivity of $512.9 million in goodwill.
  • Monitor implementation capacity, customer churn, cybersecurity and third-party hosting exposure, talent costs, and the continuing effects of COVID-19 on customer purchasing and delivery.
