Material changes and management commentary

  • Registered users reached 5.2m at March 31, versus 3.4m a year earlier. Management attributed approximately $6.3m of revenue growth to increased users from existing and new customers and approximately $1.0m to increased transaction volumes.
  • Cost of revenue rose 30.0%, slower than revenue growth, contributing to higher gross margin. Management cited scale and process improvements as potential sources of future margin expansion.
  • Sales and marketing expense rose 12.4%, R&D 51.7%, and G&A 37.8%. The company expects these expenses to increase in absolute dollars as it invests in hiring, product development, infrastructure, and public-company compliance, while anticipating lower expense ratios over time as revenue grows.
  • The March 2015 follow-on offering generated approximately $32.3m net proceeds for Q2; a substantial portion of shares sold were by existing stockholders, who received no proceeds.

Outlook, risks, and unusual items

  • No specific revenue, earnings, or cash-flow guidance was provided. Management said it expects continued investment and losses for the foreseeable future; profitability depends on gaining sufficient scale and productivity. Results may vary with sales seasonality, customer implementations, user adoption, and spending.
  • Key disclosed risks include managing rapid growth and implementation capacity; service reliability, cybersecurity and data privacy; dependence on third-party data centers and integrations; competition and pricing pressure; customer consolidation and financial-sector weakness; and continued operating losses. Q2 noted that lower oil and gas prices could adversely affect customers in Texas and other energy-exposed states.
  • On May 1, 2015, after quarter-end, Q2 amended its Austin-area office lease to add approximately 59,000 square feet in phases during 2016–2017. The amended lease runs to April 30, 2028, with monthly rent beginning at $98,000 and rising to $311,000 near the end of the term; commencement dates depend on construction completion.
  • Management reported no material pending legal proceedings and no off-balance-sheet arrangements. Disclosure controls were assessed as effective, with no material change in internal control over financial reporting during the quarter.

Important facts for investors to verify

  • Whether user growth, transaction volumes, customer additions, and implementation timing sustain revenue growth and improved gross margins.
  • Whether investment in personnel, R&D, support, and infrastructure translates into operating leverage despite continued losses and negative operating cash flow.
  • Liquidity and capital allocation, including the use of follow-on proceeds, credit-facility availability and covenant compliance, and the long-term cost of the expanded lease.
  • Customer concentration and exposure: no customer represented 10% or more of revenue, but one customer accounted for 17% of accounts receivable at quarter-end.
  • Potential dilution and share supply: stock-based compensation was $1.3m for the quarter, and the filing disclosed substantial shares potentially eligible for sale after follow-on offering lockups expire.
