Material Changes Versus the Prior Comparable Period

  • RH Segment revenue decreased 1.9% to $677.1 million, which management attributed primarily to lower demand amid difficult macroeconomic conditions. Waterworks revenue increased 2.6% to $49.9 million.
  • RH Segment gross margin declined to 42.8% from 46.6%, driven by price adjustments, a higher mix of discontinued products and increased discounts, as well as occupancy deleverage and expansion-related costs.
  • SG&A increased 5.3% to $261.4 million. RH cited $15 million of incremental advertising associated with the Spring 2024 RH Outdoor Sourcebook, higher compensation from new Gallery openings and increased occupancy and corporate costs.

Guidance, Outlook, Risks and Unusual Items

  • Management expects fiscal 2024 adjusted capital expenditures of $250 million to $300 million, primarily for new Design Galleries and infrastructure.
  • RH opened the Palo Alto Gallery in May 2024 and planned to open RH Madrid in June 2024. Management continues to pursue international expansion and Gallery transformation.
  • Management stated that existing cash, operating cash flow and financing availability should be sufficient for more than the next 12 months, including repayment of the remaining 2024 convertible notes. This expectation is subject to operating performance, credit-market access and other risks.
  • Variable-rate debt creates material interest-rate exposure; management estimates that a 100-basis-point rate change could affect annual interest expense by approximately $24 million.
  • RH has significant lease obligations: total recognized lease liabilities were $1.220 billion, and legally binding payments for signed but not yet commenced leases totaled $681 million.
  • Legal proceedings include employment, wage-and-hour, consumer, intellectual-property, product-liability and other claims. RH believes current proceedings will not materially adversely affect the financial statements, but acknowledges that outcomes and ultimate costs are uncertain.
  • Equity-method investments generated a $2.4 million loss in the quarter, and RH had approximately $128.9 million of equity-method investments at period-end.
  • The filing states that there were no material changes to previously disclosed risk factors or market-risk exposures, and that disclosure controls were effective as of May 4, 2024.
