| Adjusted EBITDA (non-GAAP) | $15.3 | -8.1% | $33.9 | +6.0% |
Quarterly adjusted gross profit margin was 26.6%, up from 21.2%; six-month margin was 24.7%, up from 21.4%. GAAP gross margin was 25.3% for the quarter and 23.8% for the six months. Quarterly adjusted EBITDA was 20.7% of adjusted gross profit, versus 23.5% a year earlier; the six-month ratio was 22.5%, versus 23.5%.
Management attributed lower transportation revenue mainly to reduced ocean rates and lower ocean and brokerage revenue. Transportation gross profit was nearly flat in the quarter and higher over six months, with improved transportation margins reflecting a more favorable mix of domestic and international shipments. Value-added services revenue rose 47.7% for the quarter and 54.5% for six months, primarily reflecting the Navegate acquisition and Canadian growth. Personnel and depreciation and amortization costs increased; the latter also reflected accelerated amortization of trade names during rebranding.
Cash flow, liquidity and debt
- Operating cash flow was $65.5 million for the six months, compared with cash used of $19.7 million in the restated prior-year period. Working-capital movements, including decreases in receivables and contract assets, were significant contributors.
- Investing cash use was $6.7 million, including $3.3 million for the Cascade acquisition and $3.4 million for property, technology and equipment. Financing cash use was $23.7 million, including $15.0 million of net revolving-credit repayments and $5.0 million of share repurchases.
- At December 31, cash and cash equivalents were $62.0 million; current assets were $249.1 million and current liabilities $158.9 million. Notes payable totaled $53.7 million, including $47.5 million drawn on the revolving facility. Operating and finance lease liabilities totaled $66.0 million and $1.5 million, respectively.
- The new five-year revolving facility is $200 million, with a $75 million accordion for acquisitions; the reported rate was 5.99% at quarter-end. Canadian term loans carry 6.65% rates and mature in 2024. The company reported compliance with debt covenants.
Developments, outlook and risks
- Restatement and filing delay: The company said it could not timely file the fiscal 2022 Form 10-K and this 10-Q after concluding that prior-period financial statements required restatement, principally for timing errors in estimated in-transit revenue and related costs. The December 2021 quarter was revised downward by $0.409 million in Radiant-attributable net income and $0.01 in EPS; the six-month comparative was revised upward by $0.121 million, with no EPS change.
- Control weakness: Management concluded disclosure controls were ineffective at December 31, 2022 because a material weakness in revenue transaction controls remained unremediated. Remediation was ongoing, with additional action planned during fiscal 2023.
- Acquisition and brand transition: Radiant acquired Cascade in October 2022 for $3.25 million cash plus contingent consideration. It is integrating the business and gradually phasing out certain trade names in favor of the Radiant brand. The filing reported a $0.03 million lease-abandonment charge related to the acquisition.
- No specific financial guidance was provided. Management described continued organic growth and acquisition activity as strategic priorities. It cited inflation, possible recession, fuel costs, supply-chain disruption and capacity constraints as uncertainties; it also highlighted foreign-exchange, interest-rate, acquisition-integration and strategic-partner risks.
- Cybersecurity and legal exposure: A December 2021 ransomware incident disrupted systems and caused lost revenue and incremental costs. The company reported system recovery was complete, but confirmed data extraction involving customer and employee information; related privacy or regulatory claims remain possible. No potentially material legal proceedings were reported at quarter-end.
- Other items: Up to 1,635,528 shares remained available under the repurchase authorization at quarter-end. Executed but not commenced lease commitments totaled $26.2 million; a January 2023 office lease added approximately $2.1 million of undiscounted payments. Radiant consolidates a variable-interest entity in which an entity owned by its CEO holds a 60% interest and share of distributable profits.
Important facts for investors to verify
- Review the fiscal 2022 10-K and restatement notes for the full scope of prior-period corrections and their effect on trends and comparability.
- Track remediation of the revenue-recognition material weakness and whether controls become sufficiently precise to prevent or detect misstatements.
- Assess whether cash generation remains strong as working-capital balances normalize, and monitor facility borrowing, interest costs, covenant compliance and upcoming 2024 term-loan maturities.
- Evaluate underlying earnings after acquisition-related amortization, rising personnel costs and the changing freight mix; distinguish GAAP results from management’s non-GAAP adjusted gross profit and adjusted EBITDA.
- Monitor potential consequences of the ransomware data extraction and the economics and governance of the CEO-related variable-interest entity.
