Financial position, cash flow and liquidity

  • Quarterly revenue rose 29% (31% at constant currency); nine-month revenue rose 16% (20% at constant currency). Quarterly Sleep and Respiratory Care revenue grew 28%, while SaaS revenue grew 35%; excluding MEDIFOX DAN, SaaS growth was 9% for the quarter and 8% for the nine-month period.
  • Quarterly gross margin fell 1.5 percentage points, mainly due to product mix, higher component costs and warehouse costs, partly offset by higher average selling prices and lower acquired-intangible amortization. Nine-month gross margin declined 0.3 points.
  • For the nine months, operating cash flow was $455.9 million, compared with $271.7 million; investing cash outflow was $1,113.3 million, including $1,011.2 million for acquisitions; financing cash inflow was $611.5 million, largely reflecting acquisition-related borrowings. Cash declined $45.8 million to $227.9 million.
  • At March 31, 2023, total debt was $1,585.9 million, versus $775.2 million at June 30, 2022. Debt included $1,090.0 million under revolving and term facilities and $500.0 million in senior notes. The company reported $605.0 million available under its revolver, $832.9 million of cash plus revolver availability, and compliance with debt covenants. It stated current liquidity should fund operations and expected capital expenditures for the next 12 months and beyond.
  • Total assets were $6,713.9 million and stockholders’ equity was $3,932.5 million. Inventories increased to $1,011.3 million from $743.9 million at June 30, 2022.

Material changes and unusual items

  • ResMed acquired German out-of-hospital software provider MEDIFOX DAN on November 21, 2022, for approximately $997.5 million. The purchase was funded through the revolving credit agreement. The preliminary allocation included $784.1 million of goodwill, recorded in SaaS and not tax-deductible; purchase-price allocation remained subject to completion.
  • Higher debt associated with the acquisition increased net interest expense to $15.0 million for the quarter and $32.4 million for nine months, compared with $5.5 million and $16.8 million, respectively, in the prior-year periods.
  • Nine-month results included a $9.2 million acquisition-related expense. Investment gains were $6.4 million for the quarter and $11.5 million for nine months; these are included in other income.
  • Management attributed device sales growth to stronger demand and reduced competitive supply; nine-month sales also benefited from Card-to-Cloud products introduced to address patient backlogs amid semiconductor constraints. Foreign exchange reduced Sleep and Respiratory Care revenue by approximately $19.6 million in the quarter and $92.5 million for nine months.

Outlook, risks and contingencies

  • The filing provides no specific numerical revenue or earnings guidance. Management described ongoing investment in research and development, digital health and SaaS, and continued AirSense 11 rollout. It also stated that supply-chain disruptions, working-capital needs and capital deployment can affect future operating cash flow.
  • Key business risks discussed include inflation and cost pressures, foreign-exchange exposure, supply-chain disruption, competition, reimbursement and healthcare changes, and execution and valuation risks related to acquisitions. The company reported no significant off-balance-sheet arrangements.
  • Patent litigation includes the NYU case, stayed pending PTAB review, with a PTAB decision expected by December 2023; and Cleveland Medical litigation, with trial set for August 2024 and a PTAB decision on whether to review one patent expected by September 2023. ResMed said it could not reasonably estimate potential losses for open matters.
  • Purchase obligations were $1,430.1 million as of March 31, 2023. The company reported no material changes outside the ordinary course to other contractual obligations.
  • The board declared a $0.44-per-share dividend payable June 15, 2023. Share repurchases remained suspended; 12.9 million additional shares were authorized for repurchase under the existing program.
