FY2022 reported sales included a 2.7-percentage-point headwind from currency translation and a 2.3-point contribution from acquisitions. Segment sales were $3.545 billion for Intelligent Devices, $2.313 billion for Software & Control, and $1.903 billion for Lifecycle Services. Segment margins were 20.2%, 28.8%, and 8.3%, respectively. Software & Control benefited from growth including acquisitions; Intelligent Devices and Lifecycle Services margins were pressured by higher input costs, supply constraints, and investment spending.

At September 30, 2022, current assets were $3.611 billion and current liabilities were $3.572 billion. The company reported $317.0 million of commercial paper borrowings and $42.3 million of Sensia loans within short-term debt. A new $1.5 billion revolving credit facility, expiring in 2027, was undrawn at year-end; the company reported compliance with its credit covenants. The filing cites a negative S&P outlook and stable outlooks from Moody’s and Fitch.

Material changes and unusual items

  • Order backlog rose to $5.197 billion from $2.911 billion, with growth across all three segments. Management said results were driven substantially by component availability rather than underlying demand and expected supply-chain actions to normalize lead times and reduce backlog.
  • Operating cash flow fell by $437.9 million year over year. Receivables and inventories increased by $415.6 million and $292.8 million, respectively, as the company supported growth amid supply constraints.
  • The PTC investment generated a $136.9 million fair-value loss in FY2022, compared with a $397.4 million gain in FY2021; changes in this investment affect reported earnings independently of segment operations.
  • The prior-year comparison included a $70 million favorable legal settlement in FY2021. FY2022 segment operating earnings rose to $1.543 billion, but higher costs and investment spending offset some sales and pricing gains.
  • FY2022 acquisitions included AVATA and, through Sensia, Swinton Technology. On October 31, 2022, after year-end, Rockwell acquired CUBIC for reported purchase consideration of $134.7 million net of cash acquired; FY2023 guidance includes an estimated CUBIC impact.

Outlook, risks, and contingencies

As of November 8, 2022, management guided FY2023 reported sales growth to 7.5%–11.5%, organic sales growth to 9.0%–13.0%, diluted EPS to $9.54–$10.34, and adjusted EPS to $10.20–$11.00. Guidance assumes continued supply-chain stabilization and reflects approximately 1.0% inorganic growth and a roughly 2.5% currency headwind. Management’s long-term objectives include above-market organic growth, recurring-revenue expansion, EPS growth above sales growth, return on invested capital above 20%, and free cash flow of about 100% of adjusted income. These are goals, not guarantees.

  • Key operating exposures include component shortages and supplier concentration, inflation and freight costs, foreign-exchange movements, geopolitical disruption and sanctions, weaker industrial activity, and labor availability and retention.
  • Cybersecurity is a material risk for the company’s systems and industrial products and for customer infrastructure. Rockwell reported prior cyber threats and incidents, none material or causing a material adverse effect, but stated that risk cannot be eliminated.
  • Sensia goodwill was tested after a fourth-quarter triggering event related to supply constraints and market volatility. No impairment was recorded; estimated fair value exceeded carrying value by about 15% in the fourth-quarter test. The auditor identified this valuation as a critical audit matter because of the sensitivity of revenue, margin, and discount-rate assumptions.
  • Environmental remediation liabilities, net of expected recoveries, were $46.0 million; conditional asset-retirement obligations were $24.6 million; and asbestos liabilities, net of insurance, were $14.3 million at year-end. Management did not expect pending matters to have a material overall effect, while noting litigation outcomes are uncertain.
  • Management and the auditor concluded internal control over financial reporting was effective as of September 30, 2022. The auditor issued an unqualified opinion on the financial statements.

Important facts for investors to verify

  • Whether supply-chain stabilization converts the unusually high backlog into timely shipments and revenue, and how much backlog is subject to cancellation, delay, or margin pressure.
  • Whether working capital improves and cash flow recovers, particularly as receivables and inventory remain elevated.
  • How much FY2023 reported earnings are affected by recurring operations versus non-GAAP adjustments, including acquisition-related amortization and volatile PTC investment valuation.
  • Whether the FY2023 sales and EPS guidance assumptions are achieved, including currency, pricing, inflation, and CUBIC contributions.
  • Whether Sensia meets the assumptions underlying its goodwill valuation given its Oil & Gas concentration, and whether litigation, environmental, or asbestos exposures change materially.
