The sale generated $198.8 million cash at closing; total consideration was approximately $219 million, subject to adjustments and other terms. Excluding specified items, adjusted Q3 operating income declined year over year.
  • Other, net was a loss of $21.4 million in Q3 and $111.1 million for the first nine months, versus losses of $9.4 million and $47.8 million, respectively, in 2021. This included a $75.1 million nine-month mark-to-market loss on equity investments, primarily Quanergy, and currency and commodity-related losses.

Outlook, risks, and contingencies

  • Management estimated 2022 capital expenditures of $135–$145 million, expected to be funded from cash on hand. It expected Dynapower 2022 annualized revenue to exceed $100 million and projected growth above 30% over the next several years.
  • Management stated available liquidity should be sufficient for operations, investment, shareholder returns, and debt service for at least 12 months, while cautioning that future cash generation and borrowing availability are not assured. It also noted leverage could constrain future financing and that credit-rating downgrades could raise borrowing costs. Moody’s and S&P ratings were Ba2 and BB+, respectively, both with stable outlooks.
  • Risks discussed include inflation in materials and logistics, foreign-exchange exposure, supplier interruptions, market and industry conditions, acquisitions and divestitures, competition, labor costs, product liability and warranty claims, and regulatory changes. Management reported no material change to previously disclosed risk factors and no significant change in market risk since year-end.
  • Ordinary-course litigation was not expected by management to have a material adverse effect, based on information then available. The filing reports no defaults under senior securities; Sensata said it was in compliance with debt covenants at September 30.
  • Disclosure controls and procedures were assessed as effective at the reasonable-assurance level; no materially significant change in internal control over financial reporting was reported for the quarter.
