Service revenue increased 4.9% in the quarter and 5.8% year to date. Product revenue declined 2.6% in the quarter but increased 5.9% year to date. Healthcare and Applied Sterilization Technologies were the primary growth contributors. Life Sciences revenue declined 5.2% in the quarter and 0.6% year to date. Dental revenue declined 1.5% in the quarter but increased 24.2% year to date, largely reflecting the timing of the Cantel acquisition.

Quarterly gross margin was pressured by inflation, supply-chain costs, productivity, volume, and other adjustments, partially offset by pricing, divestitures, and currency. Year-to-date gross margin benefited from pricing, mix, acquisition and divestiture activity, and currency, but was partly offset by inflation and productivity costs.

For the nine months, cash provided by operating activities was $541.1 million, compared with $513.1 million in the prior-year period. Free cash flow, a non-GAAP measure, was $262.8 million, down from $300.3 million, primarily due to higher inventory and other working capital and increased capital spending. Capital expenditures were $290.5 million, compared with $214.5 million.

At December 31, 2022, cash and cash equivalents were $259.4 million. Total debt was $3.062 billion, including $60.0 million of short-term debt and $3.002 billion of long-term debt. Debt-to-total capital was 33.6%, compared with 32.1% at March 31, 2022. The company had $274.7 million outstanding under its revolving credit facility and $10.4 million of letters of credit outstanding. Inventory increased to $694.4 million from $575.0 million at March 31, 2022.

Material Changes Versus the Prior Comparable Period

  • Revenue increased modestly in the quarter and 5.9% for the first nine months, driven mainly by Healthcare and AST growth, with unfavorable currency and divestiture effects.
  • A non-cash goodwill impairment charge of $490.6 million was recorded in the second quarter against the Dental segment. No additional impairment was identified in the third-quarter annual review.
  • Year-to-date operating income and net income declined substantially because of the impairment charge and higher amortization of acquired intangible assets. The impairment also drove the year-to-date net loss and negative effective tax rate of 114.8%.
  • Acquisition and integration costs declined to $18.5 million year to date from $167.7 million, primarily because the prior-year period included substantial Cantel integration costs.
  • Interest expense increased to $77.4 million from $67.8 million year to date, mainly because of higher rates on floating-rate debt, partly offset by lower debt balances.
  • The company repurchased approximately $148.3 million of ordinary shares during the first nine months and paid $136.9 million in dividends, or $1.37 per share. Approximately $160.6 million remained available under the repurchase authorization at December 31, 2022.
  • Goodwill declined to $3.853 billion from $4.404 billion at March 31, 2022, primarily because of the Dental impairment and foreign-currency translation.

Guidance, Outlook, Management Commentary, Risks, and Unusual Items

The filing does not provide a clear quantitative earnings or revenue guidance update. Management stated that long-term demand is supported by infection-prevention needs, healthcare procedure volumes, pharmaceutical regulatory requirements, and customer efficiency initiatives.

  • Supply-chain disruptions and labor and material inflation remain significant pressures. Approximately $46 million of Healthcare and Life Sciences capital-equipment shipments were delayed during the third quarter.
  • Management expects to continue addressing supply constraints through alternative suppliers, third-party and broker purchases, substitute parts, and prioritization efforts.
  • Healthcare backlog was $540.4 million at December 31, 2022, while Life Sciences backlog was $110.6 million, down 5.6% from the prior-year level.
  • Risks include inflation, supply and production disruptions, foreign-currency movements, higher interest rates, reduced demand, customer concentration in Dental, regulatory and product-liability matters, tax audits, acquisition integration, and elevated indebtedness.
  • Three Dental customers collectively represented approximately 47.2% of Dental revenue in the quarter and 43.8% year to date.
  • The IRS has proposed adjustments related to deemed dividend inclusions and withholding tax that could result in an approximately $50.0 million cumulative tax liability. STERIS is contesting the assertions and has not recorded reserves; management does not expect a material adverse effect on consolidated financial position, although a period-specific impact could be material.
  • Management believes current litigation and claims are adequately reserved where probable and estimable and does not expect them to materially affect consolidated results, but acknowledges that actual outcomes could differ.
  • The company uses foreign-currency forwards and nickel commodity swaps for risk management and does not use derivatives for speculative purposes.
