The term loan is scheduled to mature in 2027, with $19 million due in 2024, $25 million in 2025, $25 million in 2026 and $431 million in 2027. The company was in compliance with its debt covenants.
Material changes versus the prior comparable period
- Revenue growth was driven by recurring and public-cloud expansion, partially offset by continued declines in perpetual software, hardware and consulting revenue.
- Gross margin improved primarily because of the higher recurring-revenue mix and improved cloud gross-profit rates.
- Operating expenses declined 4% to $929 million, reflecting cost discipline, lower foreign-currency costs and reduced R&D spending.
- Operating income and net income increased substantially despite higher interest and other expense.
- Operating cash flow declined primarily because 2023 included $65 million of net cash tax payments versus an $18 million net tax refund in 2022.
- Share repurchases totaled approximately $308 million, or 7.0 million shares, at an average price of $43.79. The remaining general repurchase authorization was $554 million at year-end.
- APJ revenue declined 8%, partly because of the wind-down of direct operations in China. Teradata ceased direct operations in China during 2023.
- The company acquired Stemma Technologies; the acquisition was described as immaterial financially and added approximately $7 million of goodwill.
Guidance, outlook, commentary and unusual items
- Management expects 2024 Total ARR growth to be driven primarily by expansion, while Public Cloud ARR growth is expected to be driven primarily by expansion and conversions.
- Based on exchange rates as of January 31, 2024, management estimated a 1.0% to 1.5% negative currency-translation impact on 2024 full-year revenue.
- Fourth-quarter 2023 sales cycles lengthened, causing Public Cloud ARR to fall below the previously provided 2023 guidance range. The filing text does not provide the numerical guidance range.
- Management continues to prioritize cloud migration, VantageCloud Lake adoption, AI capabilities, partner enablement and cost discipline. The company expects to continue investing in AI/ML, demand creation and brand awareness.
- Argentina currency controls led to $13 million of pre-tax losses from Blue Chip Swap transactions during the fourth quarter. Argentina-related hyperinflation and tax effects also contributed to a $15 million discrete tax expense.
- The 2023 effective tax rate was 47.0%, including $18 million of net discrete tax expense and a $90 million deferred-tax valuation allowance balance at year-end.
- Cash requirements include $900 million of transition-tax and purchase obligations, including $278 million scheduled for 2024. The company also had $40 million of unrecognized tax benefits and underfunded pension and postemployment obligations.
- Management believes cash, operating cash flow and available revolver capacity will satisfy working-capital, investment, pension and other financing needs for at least the next twelve months.
- No material cybersecurity incident was reported during the last three fiscal years, and related expenses were immaterial. Management and the independent auditor concluded that internal control over financial reporting was effective as of December 31, 2023.
Principal risks and contingencies
- Execution risk exists around the cloud-first transformation, customer migrations, scaling cloud gross margins and adoption of AI-enabled offerings.
- Competition is intense, including from AWS, Databricks, Google Cloud, Microsoft, Snowflake and other established and emerging providers.
- Long and unpredictable sales cycles, consumption-based pricing, customer cancellations or non-renewals and pricing pressure may create revenue volatility.
- Cybersecurity, data privacy, cross-border data-transfer restrictions and evolving AI/ML regulation could increase costs, liability or customer adoption barriers.
- Cloud-provider dependence, reliance on Flex for hardware assembly and use of single-source suppliers create operational and supply-chain risks.
- Foreign currency volatility, Argentina currency controls, international operations, tax changes and geopolitical conditions may affect earnings and cash flows.
- The company faces legal contingencies related primarily to litigation with SAP. The filing states that the likelihood and potential loss range for remaining SAP patent counterclaims cannot currently be determined.
- The $500 million term loan, lease obligations, purchase commitments and pension liabilities reduce financial flexibility. Interest-rate exposure is substantially hedged, but not eliminated.
Facts investors should verify
- Whether Public Cloud ARR growth and the 124% cloud net expansion rate continue after the sales-cycle delays reported in the fourth quarter.
- Progress in converting legacy maintenance and perpetual revenue into higher-growth subscription and public-cloud revenue.
- Whether cloud gross margins continue to improve toward or above on-premises economics as the business scales.
- Cash generation after approximately $308 million of 2023 repurchases, upcoming term-loan amortization and the $900 million of disclosed transition-tax and purchase obligations.
- The financial effects of Argentina currency controls, foreign-exchange volatility and the elevated effective tax rate.
- Developments in the SAP litigation, AI and privacy regulation, cybersecurity exposure and reliance on major cloud providers.
