Organic sales increased $328 million, or 23.5%, while acquisition sales contributed $64 million, primarily from Calspan. Sales growth reflected higher defense revenue, commercial aftermarket activity and commercial OEM production. Segment sales were $885 million for Power & Control, $862 million for Airframe and $42 million for Non-aviation.

Interest expense increased to $300 million from $286 million, primarily because of higher Term SOFR and LIBOR rates on unhedged variable-rate debt, partly offset by higher interest income. The weighted-average cash interest rate was 6.3%, compared with 5.9% in the prior-year quarter. The effective tax rate declined to 21.7% from 23.9%, mainly because of larger excess tax benefits from share-based compensation.

Liquidity, Debt and Capital Allocation

  • Cash and cash equivalents were $4,135 million at December 30, 2023, versus $3,472 million at September 30, 2023.

  • Approximately 86% of gross debt was fixed rate. No term loan or note maturity occurs before March 2026.
  • The Company issued $1.0 billion of Tranche J term loans due 2031 and $1.0 billion of 7.125% senior secured notes due 2031.
  • Operating cash flow was $636 million; capital expenditures were $36 million and investing cash uses totaled $50 million.
  • The Company paid a $35 per-share special dividend totaling approximately $1.94 billion, plus approximately $101 million of dividend equivalents. Total dividend and dividend-equivalent payments were $2.04 billion.

Material Changes and Transactions

  • TransDigm agreed to acquire CPI’s Electron Device Business for approximately $1.385 billion in cash. Closing is expected in fiscal 2024, subject to U.S. and U.K. regulatory approvals and customary conditions.
  • The CPI acquisition is expected to be funded with cash on hand, including proceeds from the new debt issued during the quarter.
  • The Company drew the remaining $100 million under its trade receivable securitization facility, bringing borrowings under that facility to $450 million. The facility matures July 25, 2024 and bore an interest rate of 6.99% at quarter-end.
  • TransDigm completed a $13 million acquisition of a product line through Extant Aerospace.
  • Stockholders’ deficit increased to $3.51 billion from $1.98 billion, primarily because of the special dividend.

Outlook, Commentary and Risks

Management reported continued recovery in commercial aerospace, with domestic air travel near or above pre-pandemic levels and international traffic improving. The Company expects commercial aerospace markets to continue progressing during fiscal 2024, assuming no significant disruptions. Commercial OEM sales benefited from higher Boeing and Airbus production, although aircraft production remains constrained by supply-chain and production issues. Management noted that the Federal Aviation Administration halted Boeing’s planned MAX production increase following quality-control issues.

Defense sales improved with higher U.S. government defense outlays, but future spending remains uncertain because of budget reprioritization and geopolitical conflicts, including the Russia-Ukraine and Israel-Hamas conflicts. Supply-chain and labor disruptions, inflation in freight, raw materials and labor, customer concentration, aircraft utilization, cybersecurity, regulatory compliance, government audits, acquisition execution, environmental matters and high indebtedness remain key risks.

The Company stated that it was in compliance with its debt covenants and expects to remain compliant. It expects operating cash flow, cash on hand and available borrowing capacity to fund interest, capital expenditures and the CPI acquisition. No guidance range for revenue, earnings or cash flow was provided in the filing.

The Department of Defense Office of Inspector General previously recommended that TransDigm voluntarily refund at least $21 million relating to alleged excess profits on certain contracts. TransDigm disputes the report and has recorded no loss contingency because it considers payment uncertain. The Company also disclosed ongoing tax examinations in Canada, France and Germany and U.S. state examinations; no material adverse outcome is currently expected.

Investor Verification Checklist

  • Verify completion timing, regulatory approval and financing of the approximately $1.385 billion CPI Electron Device Business acquisition.
  • Monitor leverage, interest expense and refinancing needs, particularly the July 2024 maturity of the fully drawn receivable securitization facility and debt maturities beginning in 2026.
  • Assess whether commercial aerospace recovery, Boeing and Airbus production rates, and international flight activity support the reported sales growth.
  • Review the sustainability of the 58.2% gross margin and 51.0% EBITDA As Defined margin, including the effects of pricing, aftermarket mix and cost inflation.
  • Evaluate the cash-flow impact of special dividends and future capital allocation relative to acquisition spending and debt reduction.
  • Follow the DOD OIG refund matter, government pricing reviews, tax examinations and other legal or regulatory contingencies.
  • Reconcile EBITDA As Defined to U.S. GAAP results because it excludes or adjusts for items including interest, taxes, depreciation, amortization and stock compensation.
