Material Changes Versus the Prior Comparable Period
- Q2 net sales increased 11.1%, while first-half sales increased 9.5%. Organic sales increased 15.1% in Q2 and 12.0% for the first half; reported growth was reduced by prior-year divestitures.
- Commercial aftermarket sales increased $117 million, or 45.6%, in Q2, driven by recovering commercial air travel, higher narrow-body utilization and air-cargo demand. Commercial OEM sales increased $62 million, or 27.8%.
- Defense sales declined $12 million, or 2.1%, in Q2 and $58 million, or 5.2%, for the first half, primarily due to supply-chain delays at certain operating units.

- Gross margin expanded by 5.9 percentage points in Q2 and 6.2 percentage points for the first half, primarily due to favorable commercial aftermarket mix, operating leverage and cost-management initiatives, despite inflation in labor and selected raw materials.

Guidance, Outlook, Commentary and Risks
- Management expects COVID-19 to continue adversely affecting sales, net income and EBITDA As Defined versus pre-pandemic levels for the duration of fiscal 2022. Commercial aviation recovery is improving but remains uneven, particularly for international travel.
- Supply-chain disruption, especially shortages of electronic parts, remains a risk. Aerospace certification requirements may make supplier substitutions lengthy and costly.
- Wide-body production and deliveries remain affected by weak international travel and Boeing 787 quality-control issues. Management also cited inflation in labor and raw-material costs.
- Management expects its value-driven strategies—profitable new business, cost-structure improvement and highly engineered products—to support strong margins and operating cash generation.
- The Company may make additional share repurchases in the second half of fiscal 2022. It does not anticipate regular quarterly or annual cash dividends in the near future; future special dividends remain subject to Board discretion, liquidity and debt restrictions.
- Management does not currently expect a direct material adverse impact from the Russia-Ukraine conflict, but identified potential effects from sanctions, export controls, energy costs, raw-material availability, flight restrictions and customer stability. Bad-debt expense in Q2 included an increased allowance for certain customers affected by the conflict.
- The Department of Defense Office of Inspector General recommended that TransDigm voluntarily refund at least $20.8 million related to alleged excess profits on 150 contracts. TransDigm disputes the report and recorded no loss contingency because payment remains uncertain.
- Other risks include high leverage and refinancing requirements, dependence on flight hours and defense spending, customer concentration, cyber-security threats, acquisitions and integration, regulatory approvals, litigation, environmental liabilities, foreign operations and further pandemic effects.
