Changes and portfolio condition
- Income declined year over year primarily because the average principal balance of income-bearing debt investments was lower. NII per share also fell, while total operating expenses decreased to $13.8 million from $15.1 million, mainly due to lower interest expense.
- Q1 cash provided by operations was $18.2 million; financing activities used $189.0 million, primarily from $176.0 million of net revolving-facility repayments and $14.3 million of distributions paid. The large cash decline reflects those repayments.
- The portfolio comprised 314 investments in 106 companies, with fair value of $773.6 million against cost of $820.3 million. Approximately 98.8% of total assets were investments, predominantly Level 3 valuations based on significant unobservable inputs.
- Five portfolio companies were on non-accrual, with $64.1 million cost and $47.1 million fair value, compared with $41.7 million cost and $29.0 million fair value at year-end. The weighted average debt-investment rating weakened to 2.21 from 2.14. During the quarter, four companies were downgraded, including one from Orange to Red.
- Realized investment losses were driven primarily by write-offs of Dia Styling and Underground Enterprises; $5.1 million of the related loss had previously been recorded as unrealized.
- Consumer Products and Services and E-Commerce—Clothing and Accessories were the largest industry exposures at 17.5% and 15.1% of portfolio fair value, respectively. Non-qualifying assets were 36.4% of total assets at fair value, up from 28.7% at year-end.
Outlook, liquidity, risks, and unusual items
- Management stated it believes cash, available facility capacity, operating cash flows and portfolio receipts will meet operating needs, including unfunded commitments. Unfunded commitments were $73.1 million to nine companies, down from $118.1 million to 14 companies; management estimates 50%–75% may ultimately be drawn.
- The $350 million revolving facility had $39 million outstanding at quarter-end. Its revolving period was scheduled to expire May 31, 2024; on April 29, 2024, it was amended to extend the revolving period to August 31, 2024. The facility maturity remains November 30, 2025. The company reported 179% asset coverage and compliance with borrowing covenants.
- Unsecured notes include $70 million due March 2025, $200 million due March 2026 and $125 million due February 2027. The company had $70 million of principal repayments due within one year as of March 31, 2024.
- About 67.3% of debt investments, or $469.2 million principal, carried floating rates. Management’s sensitivity analysis estimated a $3.7 million annualized increase in NII for a 100-basis-point rate rise and a $3.6 million decrease for a 100-basis-point decline, assuming the March 31 balance sheet and no structural changes. No interest-rate or currency hedges were in place.
- The Board declared a further $0.40-per-share quarterly distribution on April 24, payable June 28, 2024. Management estimated undistributed taxable NII of $42.3 million, or $1.12 per share, at quarter-end. The company reported excise-tax accruals and warns future distributions may be lower or less frequent.
- Subsequent to quarter-end, the company closed $20.5 million of additional debt commitments through April 30 and reported $29.3 million of non-binding signed term sheets, subject to due diligence and approvals. TFG Holding was acquired after quarter-end.
- Risks include borrower defaults and reliance on venture investors or future financing, valuation uncertainty, interest-rate and foreign-exchange movements, availability of capital and facility funding, and concentrated venture-market exposures. A securities class action and consolidated shareholder derivative litigation were pending; outcomes and potential liability were not quantified in the filing. Management reported no material change to previously disclosed risk factors.
Important facts for investors to verify
- Developments in the five non-accrual companies, the credit-rating downgrades, and expected recoveries on written-off or impaired investments.
- Whether portfolio cash collections and operating income sustain the $0.40 quarterly distribution, and the tax character of distributions after year-end.
- Availability and terms of the amended revolving facility, covenant headroom, the 2025 note repayment plan and overall liquidity after substantial facility repayments.
- Assumptions supporting Level 3 fair values, particularly given the portfolio’s unrealized debt losses and increase in non-qualifying assets.
- Progress and potential financial impact of the pending shareholder litigation, and whether post-quarter commitments and term sheets become funded investments.
