Tronox Holdings Plc — Q1 2014 Form 10-Q
Reporting period: Three months ended March 31, 2014; unaudited. Amounts are in U.S. dollars unless stated otherwise. Tronox produces titanium-bearing mineral sands and titanium dioxide (TiO₂) pigment, with Mineral Sands and Pigment reportable segments.
Financial performance and liquidity
- Revenue: $418 million, down 11% from $470 million in Q1 2013. Management attributed the $52 million decline mainly to lower selling prices and product mix ($42 million) and lower volumes ($12 million).
- Profitability: Gross profit was $25 million versus $32 million; gross margin was approximately 6% versus 7%. Operating loss was $21 million versus $19 million. Net loss was $54 million versus $45 million; net loss attributable to Tronox Limited was $58 million versus $57 million. Diluted loss per share was $0.51 versus $0.50.
- Segments: Mineral Sands sales fell to $178 million from $298 million, and segment operating results swung to a $17 million loss from $96 million income. Pigment sales were $291 million versus $288 million; its operating loss narrowed to $13 million from $68 million.
- Cash flow: Operating activities used $12 million, compared with $1 million in Q1 2013. Capital expenditures were $31 million, down from $45 million. Cash declined $75 million to $1.403 billion; dividends paid were $29 million.
- Debt and liquidity: Total debt was $2.409 billion, including $2.390 billion long-term debt; net debt was $1.006 billion versus $935 million at year-end 2013. Cash plus reported availability under the UBS and ABSA revolvers totaled $1.724 billion. Neither revolver was drawn, and Tronox reported compliance with financial covenants.
- Balance sheet: Working capital was $2.237 billion, down from $2.290 billion at December 31, 2013. Total assets were $5.606 billion and total equity was $2.355 billion.
- Other performance measure: Adjusted EBITDA, a non-GAAP measure, was $64 million versus $73 million. The filing cautions that the measure may not be comparable with similarly named measures at other companies.
Changes versus Q1 2013
- Lower mineral-sands prices and volumes drove the largest revenue and segment earnings deterioration; management cited market oversupply in titanium feedstock.
- Pigment sales increased slightly as higher volumes were largely offset by lower prices and product mix. Its operating loss improved, primarily reflecting lower ore and production costs.
- Interest and debt expense rose to $34 million from $27 million, principally reflecting higher Term Loan interest expense.
- Foreign-currency translation loss in other comprehensive income was $8 million, compared with $119 million in Q1 2013; total comprehensive loss was $59 million versus $163 million.
Outlook, developments, and risks
- Management expected pigment prices to remain stable, with positive movement in the second half of 2014; sales volumes had increased slightly from late 2013, particularly in North America and Europe. These are expectations, not assured results.
- Management expected capital expenditures of $210 million to $230 million for the remainder of 2014 and said near-term operating cash flow was expected to fund operating costs, capital spending, debt repayments, and dividends.
- Fairbreeze mine construction continued. Management expected operations to begin in the second half of 2015, subject to regulatory approval and construction timing, with full operation expected in 2016. It is intended to replace feedstock from Hillendale, where mining ceased in December 2013.
- On April 23, 2014, Tronox amended its Term Loan pricing. At its then-current credit ratings, the stated margin fell from 350 to 300 basis points over LIBOR, subject to a 1% LIBOR floor; maturity and other material terms remained unchanged.
- A proposed $5.15 billion Anadarko settlement was reached on April 3, 2014, subject to Bankruptcy Court approval. Tronox said it would receive none of the settlement proceeds; funds were designated for environmental remediation trusts and a tort trust. Tronox expected potential tax deductions as the trusts spend the funds over time. No settlement amount was recorded in the financial statements.
- Risk factors include feedstock oversupply and price pressure, exposure to floating-rate debt, foreign-currency movements, and environmental and legal liabilities. The filing reported no material change to the prior annual report’s risk factors and no outstanding environmental violation notices or orders.
- Tronox recognized a $13 million consolidated lower-of-cost-or-market charge for ilmenite inventory following market price declines. Its U.S. deferred-tax valuation allowance limits recognition of tax benefits from losses.
Investor verification points
- Track mineral-sands pricing, volumes, inventory valuation, and whether feedstock oversupply eases.
- Verify the progress and conditions of the Anadarko settlement, including court approval, and assess the timing and realization of any related tax deductions.
- Monitor execution, regulatory approvals, capital costs, and schedule for the Fairbreeze mine.
- Reconcile cash availability with its location: $750 million was held in Europe, $282 million in Australia, $195 million in South Africa, and $176 million in the United States; the filing notes restrictions on some intercompany transfers.
- Assess debt service, floating-rate exposure, covenant compliance, and the effect of the Term Loan repricing; confirm the expected 2014 capital-spending range and dividend funding.
