Capital expenditures were $249.6 million. The company reported $2.0 billion of unused revolving credit facilities and $698.7 million of unused non-U.S. credit lines. Management said available cash, operating cash flow, credit lines and expected market access should meet foreseeable funding needs.

Material changes and unusual items

  • Net earnings attributable to shareholders and diluted EPS declined year over year, despite higher revenue and operating income. The 2015 effective tax rate was 43.3%, compared with 24.3% in 2014; the filing attributes the increase principally to a $227 million tax charge connected with the IRS settlement.
  • The IRS dispute for 2002–2011 was settled and finalized in December 2015. The company agreed to pay $412 million in tax and interest for 2002–2006, with no additional tax for 2007–2011 and no penalties. After a $48 million tax benefit, the reported net cash outflow was approximately $364 million.
  • The $850 million Engineered Centrifugal Compression acquisition and approximately $113 million FRIGOBLOCK acquisition were completed in 2015, funded with cash and debt. Management reported Industrial organic revenue weakness and lower segment margin, in part reflecting the acquired business and purchase-accounting amortization.
  • A Venezuelan currency remeasurement produced a $42.6 million pretax charge in Q1. The filing says remaining bolivar-denominated net assets were nominal at year-end.
  • At year-end, the company announced a sale of its remaining Hussmann interest in connection with Panasonic’s acquisition of Hussmann, expecting approximately $425 million net proceeds and a first-half 2016 closing, subject to approvals and other conditions.

Outlook, risks and contingencies

Management described economic conditions as challenging, with moderate growth in U.S. residential and commercial construction, slow non-residential construction growth in Europe and Asia, and weaker worldwide industrial equipment and aftermarket activity, including economic pressure in Asia and Latin America. It expected moderate growth in worldwide construction markets, flat-to-slow growth in industrial markets and continued productivity benefits. The company estimated 2016 capital expenditures of approximately $244 million. In February 2016, it announced a 10% quarterly dividend increase, from $0.29 to $0.32 per share.

Principal risks include global economic and political exposure, currency movements, competition and product-development execution, construction and industrial market weakness, commodity and energy costs, cybersecurity and IT disruption, regulatory and climate-related changes, and tax-law or tax-authority developments. Legal contingencies include asbestos, environmental and product-liability matters. Management did not expect pending legal matters to have a material adverse effect, but asbestos estimates and related insurance recoveries depend on uncertain claims, coverage outcomes and insurer solvency. The filing reports $713.7 million of asbestos liabilities and $315.6 million of probable insurance recoveries at year-end.

The filing states that goodwill and indefinite-lived intangible assets passed the 2015 impairment tests; their carrying values were approximately $5.7 billion and $2.7 billion, respectively. Goodwill valuation headroom was at least 37% for each reporting unit, while one tradename had approximately 7% headroom. Management cautioned that changes in discount rates, growth assumptions or market conditions could reduce estimated fair values.

Important facts for investors to verify

  • Confirm the issuer and security identity: this historical filing is for Ingersoll-Rand plc, not a filing under the name Trane Technologies.
  • Review the full financial statements and tax note for the settlement’s cash, tax-expense and unrecognized-tax-benefit effects; distinguish the $412 million agreed payment from the approximately $364 million net cash outflow reported.
  • Assess the durability of Climate margin gains and the causes of Industrial margin deterioration, including acquisition-related costs, organic volume/mix and currency effects.
  • Check cash conversion, acquisition returns, debt maturities and liquidity needs alongside the year-end cash decline and planned dividends and repurchases.
  • Monitor completion and net proceeds from the Hussmann transaction, and the assumptions underlying asbestos insurance recoveries and impairment headroom.
