Financial position and liquidity

  • At June 30, cash and equivalents were $2,200.5m; total debt was $4,781.8m, versus $3,233.0m at year-end 2012. Debt-to-total-capital was 40.0%, up from 30.9%.
  • Current assets were $6,828.5m and current liabilities $5,146.9m. The company had $2.0bn of unused revolving credit facilities and no commercial paper outstanding.
  • First-half investing cash outflow was $130.5m, including $139.2m of capital expenditures. Financing cash inflow was $1,045.2m, reflecting $1,546.2m of long-term debt proceeds, partly offset by $477.6m of share repurchases and shareholder dividends.
  • Management said available cash, operating cash generation, credit facilities and capital-market access should cover U.S. and non-U.S. needs for at least the next 12 months.

Changes, outlook and notable items

  • Q2 revenue rose 2.9%, driven by volume and pricing; first-half revenue rose 1.0%, primarily on pricing. Q2 earnings attributable to shareholders fell to $317.2m from $365.8m. First-half diluted EPS declined to $1.34 from $1.47.
  • Management attributed lower consolidated margins mainly to unfavorable product mix and higher investment spending, including spin-off costs of $21m in Q2 and $32m in the first half, and first-half restructuring costs of $34m. Pricing and productivity gains partly offset these pressures. The 2012 comparison also included discrete tax benefits of $47m in Q2 and $44m in the first half.
  • Climate Solutions and Residential Solutions improved sales and segment operating results; Industrial Technologies had lower revenue, and Security Technologies’ revenue declined, partly reflecting a product-line transfer to Residential Solutions. Management cited weak global commercial construction and slower industrial activity, but some improvement in U.S. residential markets and a slow recovery in commercial HVAC replacement and aftermarket demand. It anticipated slight revenue growth as conditions stabilize, with restructuring and productivity benefits; no specific revenue or earnings guidance was provided.
  • In June, the company issued $1.55bn of notes due 2019, 2023 and 2043. On July 17, 2013, after quarter-end, it redeemed $1.255bn of notes due 2013 and 2014. The redemptions generated a $45.6m premium expected to be expensed in Q3.
  • The proposed Allegion spin-off was targeted for completion before year-end 2013, subject to regulatory, tax, legal and other conditions; completion and timing were not assured. Management forecast 2013 spin-off and restructuring costs of $0.50–$0.60 per share after tax.
  • Significant tax contingencies remain: the IRS asserted about $665m of additional tax for 2003–2006, plus penalties and interest, and had a separate proposed 2002 assessment. The company disputed the positions, said it was adequately reserved, but warned that an adverse outcome could materially harm results, financial condition and cash flows. Unrecognized tax benefits totaled $537.5m.
  • Other notable exposures include asbestos liabilities of $847.5m against recorded probable insurance recoveries of $312.2m, environmental reserves of $62.6m, and $432.1m of long-term service and performance guarantees. The filing says significant losses under the guarantees were considered remote.

Key facts for investors to verify

  • Confirm the registrant and corporate identity: this is Ingersoll-Rand plc’s 2013 filing, and its security businesses were still consolidated pending the proposed Allegion separation.
  • Track the spin-off’s actual completion, conditions, costs and effect on the continuing company’s segment mix.
  • Review the post-quarter debt redemption, related $45.6m premium, and subsequent debt and liquidity levels.
  • Monitor IRS disputes, reserve changes and any developments in the asbestos insurance recovery assumptions.
  • Assess whether improving revenue and segment performance can offset mix, investment and restructuring pressures, particularly in commercial HVAC and industrial markets.
