Changes versus prior comparable periods
- Core Laundry Operations drove growth: Q2 revenue rose 9.5%, including 4.8% organic growth and 4.7% acquisition-related growth, primarily from Clean Uniform, acquired in March 2023. First-half Core Laundry revenue rose 9.6%, with 4.9% organic growth and 4.8% acquisition-related growth.
- Management attributed organic growth primarily to new account sales and improved customer pricing. Q2 Specialty Garments revenue increased 3.2%, with cleanroom growth; First Aid increased 5.6%, led by its van business and partly offset by wholesale weakness. First-half First Aid revenue increased 13.4%.
- Operating margin improved as revenue grew and cost of revenues fell as a share of sales, reflecting lower manufacturing, freight, merchandise and, for the first half, energy costs. Depreciation and amortization rose 17.6% in Q2 and 21.0% in the first half, including Clean-related amortization and continued technology and infrastructure investment.
- First-half operating cash flow increased with improved profitability and working-capital benefits, including rental merchandise and receivables. Cash used in investing fell to $73.4 million from $182.6 million, mainly because of lower net purchases of certificates of deposit and no acquisitions in the current period. Cash used in financing rose to $22.3 million, including $8.1 million of share repurchases and $11.5 million of dividends.
Outlook, commentary, risks and unusual items
- The filing gives no specific revenue, earnings or margin guidance. Management said existing cash and investments, expected operating cash generation and credit availability should be sufficient for anticipated working capital and capital spending needs for at least 12 months, while noting there is no assurance.
- Management said inflation moderated, but sustained inflation, high interest rates, wages, energy and fuel costs could pressure margins. Other cited risks include economic weakness affecting customers, labor availability and relations, supply-chain disruption, competition, currency movements, acquisitions and integration, and CRM/ERP implementation and cybersecurity or IT interruptions.
- The multi-year ERP project is expected to continue through 2027. Key Initiative expenses were $3.2 million in Q2 and $6.1 million in the first half, primarily ERP-related. Management expects future systems and supply-chain capabilities to support lower costs and customer retention; benefits are not assured.
- The CEO and CFO said disclosure controls were not effective because of a previously identified material weakness in IT general controls affecting systems relevant to revenue, receivables, inventory and rental merchandise. Remediation is ongoing; management said it is not remediated until controls operate effectively for a sufficient period and are tested.
- Environmental liabilities were $30.0 million at period-end. The company continues work at sites including Woburn and Somerville, and remediation estimates may change. A Mexican tax authority assessment for fiscal 2016 totaled over $84.7 million plus accruing interest and charges; UniFirst is appealing, considers a loss neither probable nor remote, and cannot reasonably estimate a potential loss range.
- First-half net income included $2.1 million of interest income from a favorably resolved tax dispute. The effective tax rate was 26.2% for Q2 versus 24.6%; for the first half it was 24.3% versus 25.0%, with the decline attributed primarily to release of certain tax reserves and a state tax law change.
- The company raised quarterly dividends in October 2023 to $0.33 per Common share and $0.264 per Class B share, subject to quarterly board approval. It repurchased 46,750 Common shares in the first half for approximately $8.1 million; $91.9 million remained under the program.
Most important facts for investors to verify
- How much of ongoing Core Laundry growth reflects organic sales and pricing versus Clean acquisition contribution, and whether customer retention and margins remain durable.
- Whether operating cash generation continues to cover elevated capital spending, dividends and repurchases without drawing on the credit facility.
- Progress and testing of remediation for the material weakness in IT controls, and execution, costs and expected benefits of the ERP program.
- Developments in environmental remediation estimates and the Mexican tax appeal, including any change in potential exposure or accounting treatment.
