- Revenue rose $488.3 million, principally reflecting the May 2021 acquisition of Banker Steel and higher Infrastructure activity. Gross margin declined, with management citing project-margin pressure, particularly in Infrastructure’s industrial business.
- FY2021 net loss included $149.9 million of discontinued-operations losses, including $159.9 million of losses on sales and liquidations. The CIG sale generated a separately disclosed $200.8 million loss; the total discontinued-operations result also reflects other items.
- Adjusted EBITDA improved, but is a non-GAAP measure and excludes items including discontinued operations and certain costs. It should not be viewed as a substitute for GAAP results.
Segments and material changes
- Infrastructure: Revenue was $1,159.7 million, up from $676.6 million; operating income was $35.2 million versus $20.5 million. Banker Steel contributed $265.9 million of revenue and $15.5 million of operating income from its acquisition date. DBMG backlog increased to $1,580.9 million from $394.5 million; five projects represented 54.9% of year-end backlog.
- Life Sciences: Revenue was $3.5 million, primarily from R2’s Glacial Rx launch. Operating loss widened to $19.9 million from $16.9 million as R2 increased commercialization spending. MediBeacon expected to begin its U.S. pivotal study in the second half of 2022, subject to development and regulatory progress.
- Spectrum: Revenue increased to $42.0 million from $40.3 million; operating loss narrowed to $0.8 million from $2.2 million. Adjusted EBITDA improved to $6.9 million from a $1.2 million loss, reflecting station growth and cost reductions.
- Portfolio changes: Banker Steel was acquired for stated gross consideration of $145.0 million. Beyond6 was sold in January 2021, producing a $39.7 million gain in 2021. CIG was sold in July 2021 to an entity controlled by a Company director; the transaction generated the disclosed $200.8 million sale loss. Prior periods were recast to present several disposed businesses as discontinued operations.
Liquidity, debt and capital
- Year-end cash and cash equivalents were $45.5 million, including $22.0 million at the corporate level. Current assets were $442.6 million and current liabilities $439.5 million. The filing reports $630.8 million of consolidated debt principal; the balance-sheet carrying amount of debt, net of discounts, premiums and financing costs, was $626.3 million before current/non-current classification.
- Corporate stand-alone debt was $390.0 million: $330.0 million of 8.50% secured notes due 2026, $51.8 million of 7.50% convertible notes due 2026 and $3.2 million of 7.50% convertible notes due June 2022; $5.0 million was drawn on the corporate revolving facility. The filing also reports $52.2 million of Spectrum secured notes extended to November 30, 2022.
- Cash used in continuing operating activities improved from $55.2 million to $6.5 million. Total operating cash flow was positive $27.0 million, including $33.5 million from discontinued operations. Capital expenditures were $24.1 million.
- Management said it expected to meet liquidity needs and fixed obligations for at least the next twelve months using available cash and subsidiary distributions. It cautioned that upstream distributions are restricted and that refinancing, asset sales or capital raising may be needed; there is no assurance these options will be available on acceptable terms.
- The Company reported compliance with debt covenants at year-end. It warned that future compliance may depend on actions such as asset monetizations, refinancing or raising equity. Common-stock dividends were not paid in 2021 or 2020, and management reported no near-term plan to pay them.
Outlook, risks and unusual items
- No quantitative consolidated revenue or earnings guidance is provided. Management’s stated strategy is to build value in Infrastructure, Life Sciences and Spectrum, while continuing to evaluate acquisitions and dispositions.
- Key risks include holding-company reliance on subsidiary distributions; substantial debt, restrictive covenants and upcoming maturities; project timing, fixed-price contract execution, backlog concentration and collection risk; steel, shipping, labor and inflation-related cost pressures; and COVID-19 disruptions. DBMG incurred $8.6 million of COVID-related costs in 2021, down from $19.4 million in 2020.
- Life Sciences faces clinical, regulatory, commercialization, manufacturing and funding uncertainty. Spectrum faces competition and FCC licensing requirements; 97 station renewal applications were due in 2022, in addition to nine pending at year-end 2021.
- Reported contingencies include ongoing FVI and DTV derivative litigation and a stockholder books-and-records demand. The filing says management does not expect pending litigation to have a material effect, while acknowledging uncertainty. The former CEO’s separation settlement was executed in January 2022 and paid in February, consistent with the amount accrued.
- Auditor BDO issued unqualified opinions on the financial statements and internal control over financial reporting. Management concluded controls were effective, but excluded Banker Steel from its control assessment while integration continued.
