VISTA GOLD CORP quarterly report, Q2 FY2023

Vista Gold Corp. — Q2 2023 Form 10-Q

Reporting period: Three and six months ended June 30, 2023. Unless stated otherwise, financial figures below are in U.S. dollars in millions. Vista is a pre-revenue gold development company focused on its 100%-owned Mt Todd project in Australia.

Financial performance and position

  • Revenue: None reported for the three- or six-month periods. As a result, operating margins are not meaningful.
  • Net loss: Q2 loss was $1.503 million versus $1.424 million in Q2 2022; six-month loss was $3.474 million versus $1.744 million. Loss per share was $0.01 and $0.03, respectively, in 2023.
  • Costs and non-operating income: Q2 exploration, evaluation and holding costs declined to $0.682 million from $0.984 million. Six-month costs fell to $1.486 million from $2.773 million. Corporate administration was nearly unchanged in Q2 and declined to $2.046 million from $2.277 million for the six-month period. Higher interest income partly offset expenses.
  • Cash flow: Six-month operating cash use was $2.995 million, down from $4.252 million. Investing cash flow was nil, compared with $2.495 million provided in 2022, principally from the final Awak Mas royalty-cancellation payment. Financing provided $0.871 million, including $1.013 million of net ATM proceeds.
  • Liquidity and debt: Cash was $5.986 million at June 30, 2023, down $2.124 million from year-end 2022. Working capital was $5.570 million, versus $7.714 million at year-end. The company reported no debt. Total assets were $8.647 million and shareholders’ equity was $7.853 million.
  • Share issuance: 121.1 million common shares were outstanding at June 30, up from 118.5 million at December 31, 2022. The ATM program had $8.702 million remaining available.

Changes versus the prior comparable period

  • Six-month net loss increased by $1.730 million year over year. The principal comparison effect was a $2.883 million gain recognized in 2022 from the final payment to cancel the Awak Mas royalty; Vista has no remaining interest in that project.
  • Lower 2023 exploration and project costs reflected reduced drilling, the completion of feasibility-study work in 2022, and lower site and discretionary spending. Lower operating cash use likewise reflected reduced project spending and recurring costs.
  • Interest income rose to $0.139 million for the first half of 2023 from $0.010 million, which the company attributed to higher market interest rates.

Project outlook, risks and other notable items

  • Mt Todd is permitted for development, but Vista has no mining cash flows. Its strategy is to de-risk the project, pursue a value-accretive partner or other transaction, and potentially develop if market conditions are appropriate. CIBC Capital Markets is advising on strategic alternatives; interested parties have shown interest but remain cautious about large-scale developments.
  • The 2022 feasibility study for a 50,000-tonne-per-day project estimates 6.98 million ounces of proven and probable reserves, average annual production of 395,000 ounces over 16 years, initial capital of $892 million, and average cash costs of $817 per ounce. Its estimated after-tax NPV at a 5% discount rate is $999.5 million at $1,600/oz gold and $1.7 billion at $1,900/oz. These are study estimates, not current operating results or company guidance.
  • An internal 2023 scoping study evaluated a smaller 5.2-million-tonne-per-year alternative. Management said further work is needed on expansion or staged development; the filing does not provide clear economic estimates for that alternative.
  • Management expects 2023 fixed costs to decline about 7% from 2022, to annual net recurring costs of approximately $5.4 million, and expects similar recurring costs in 2024. It believes available liquidity and financing sources will fund currently planned expenses and programs for at least one year from the filing date. This depends partly on future financing; Vista has no recurring operating cash inflows.
  • The filing describes approximately $0.4 million of expected 2023 discretionary program spending and also says spending during the remainder of 2023 is expected to be reduced to approximately $0.3 million. It separately expects about $2.1 million for Mt Todd site management and environmental stewardship.
  • Upon notice that it intends to proceed with development, Vista would assume historical Mt Todd rehabilitation liabilities currently estimated by the Northern Territory Government at approximately A$73 million. Mt Todd also carries combined gross-proceeds royalties of 1.125%–3.0%, depending in part on gold prices and exchange rates.
  • Other risks include substantial development-capital needs, gold-price and cost volatility, securing a partner or financing, permitting and environmental obligations, and the accuracy of resource, reserve and feasibility estimates. Vista expects to remain a passive foreign investment company (PFIC) for U.S. tax purposes.
  • No material litigation or material changes to previously disclosed risk factors were reported. Management concluded disclosure controls were effective; no material change in internal control was reported.
