- Q2 profitability was driven principally by a $5,863 Australian R&D tax-incentive grant, recorded as a government grant, for qualifying 2012 expenditures. The company had no comparable grant in 2014. The six-month result also included a $1,958 gain on the final sale of Los Cardones and investment losses.
- Cash and cash equivalents were $3,808 at June 30, versus $3,714 at December 31, 2014; short-term investments, principally U.S. Treasury bills, were $8,793. Combined cash and short-term investments were $12,601. Working capital was $14,861, compared with $8,619 at year-end.
- Six-month operating cash flow was positive $2,594, compared with negative $4,212 in 2014, largely reflecting the grant and lower costs. Investing cash flow was negative $2,500, including $8,793 invested in short-term securities; financing cash flow was zero. Cash increased $94 during the period.
- Total assets were $29,710 and total liabilities $1,345. The balance sheet lists no borrowings; accounts payable and accrued liabilities were $712. There is no meaningful operating margin because Vista had no revenue.
- At June 30, Vista held 7.8 million Midas Gold shares, worth $2,341, down from $6,163 at year-end, after selling 8 million shares for net proceeds of $2,772 and recording realized and unrealized losses. The remaining shares were subject to a six-month lock-up.
Changes, outlook and risks
- Operating costs declined year over year: first-half exploration, evaluation and holding costs fell to $1,959 from $2,421; corporate administration fell to $1,842 from $2,363. Management cited cost reductions, lower stock-based compensation, a weaker Australian dollar, and Northern Territory support for Batman pit water treatment.
- First-half non-dilutive proceeds included $3,000 from the final Los Cardones payment, $500 under the Guadalupe de los Reyes option, and $2,772 from Midas Gold share sales, in addition to the $5,863 grant. In July, Vista received a further approximately $4,300 grant for 2013 expenditures. Management estimated pro forma cash and short-term investments of approximately $16,901 after that payment.
- Management expects fixed costs of $1,500–$1,700 per quarter and believes current resources can fund planned programs into 2018. This is an estimate, not a guarantee; Vista remains dependent on funding and potential asset monetization and has no operating cash generation.
- Vista deferred a Mt Todd feasibility study and significant development pending improved gold-price economics. Management estimated a study could take six months and cost approximately $2,500 once commenced. Activities focused on water management, care and maintenance, selected drilling and technical studies. Environmental impact study completion in 2014 was said to reduce permitting risk, but permits and development remain uncertain.
- Potential future funding includes $1,500 under the Guadalupe option expected in Q1 2016, further option payments, sale of mill equipment and other non-core assets, and potentially remaining Midas shares. Great Panther’s payments are optional and subject to agreement terms; receipt of all payments is uncertain. Vista’s $6,500 mill equipment held for sale is valued using Level 3 inputs.
- Key risks include continued weak gold prices, difficulty raising capital on acceptable terms, project permitting and development uncertainty, water management, asset valuations and monetization, third-party payment obligations, foreign-currency exposure, environmental and reclamation obligations, and expected ongoing losses. The filing says Vista expects to remain a PFIC for U.S. tax purposes.
- During May, Vista settled a contract dispute for $295. The filing reports no material pending or threatened litigation, no material change to the prior annual report’s risk factors, and effective disclosure controls.
Important facts for investors to verify
- Whether the additional approximately $4,300 grant was received and whether grant receipts recur; the reported earnings and operating cash flow were materially supported by non-recurring items.
- Actual cash burn against the stated quarterly fixed-cost range and the claim that funding covers planned programs into 2018.
- Timing and collection of Guadalupe de los Reyes option payments, including the expected $1,500 payment, and Great Panther’s continued performance.
- Prospects and realizable value of the mill equipment and other non-core assets, and the market value and liquidity of the remaining Midas Gold shares after the lock-up.
- Gold-price assumptions, funding and timing for the Mt Todd feasibility study, and the status of water management, permitting and development conditions.
