Financial results and position
| Metric | Q3 2014 | Q3 2013 | Nine months 2014 | Nine months 2013 |
|---|---|---|---|---|
| Revenue | $0 | $0 | $0 | $0 |
| Operating expenses | $1,108 | $3,523 | $6,333 | $20,207 |
| Net loss | $4,908 | $3,027 | $8,967 | $51,448 |
| Net loss per share | $0.06 | $0.04 | $0.11 | $0.63 |
| Cash used in operations | Not separately reported by quarter | $5,511 | $21,476 |
Q3 net loss widened principally because of a $3,792 unrealized loss on Midas Gold shares, compared with a $4,547 unrealized gain in Q3 2013. For the nine-month comparison, net loss narrowed substantially, largely because 2013 included a $42,775 unrealized investment loss and a $3,500 plant-equipment write-down. These fair-value movements are not operating revenue or cash flows. No operating margin is meaningful because Vista had no revenue.
At September 30, 2014, cash and cash equivalents were $5,262; working capital was $11,083; total assets were $37,804; total liabilities were $3,569; and shareholders’ equity was $34,235. Debt was zero, following repayment of the remaining $1,344 facility balance in March 2014. Nine-month investing cash inflow was $11,642, mainly from Midas-share sales and option-agreement proceeds; financing cash outflow was $6,344, mainly debt repayment. Cash declined by $213 from year-end 2013.
Material changes and business developments
- Operating expenses fell markedly year over year, reflecting earlier cost reductions, completion of major Mt Todd work programs, and a reversal of previously expensed restricted-stock compensation.
- Vista sold 16 million Midas Gold shares in February for gross proceeds of approximately $11,640, reducing its holding to 15.8 million shares, or about 11.2%. Remaining shares, valued at $8,060 at quarter-end, were locked up until after February 15, 2015.
- Mt Todd received Environmental Impact Statement approval in September 2014. Management said current gold prices did not support completing the feasibility study or developing the project at that time. It estimated a study could take about six months and cost approximately $2,500 if commenced.
- Vista optioned Guadalupe de los Reyes to Cangold, which may earn a 70% interest through payments totaling $5,000 over three years and other obligations. Vista had received $500 in 2014 and expected another $500 in January 2015; future payments are conditional on Cangold performance.
- The $6,000 remaining payment for the 2013 Los Cardones sale was extended to January 30, 2015. After quarter-end, Invecture announced the project was suspended, creating substantial doubt about receipt. If the purchasers do not pay, Vista retains prior payments and the project returns to Vista.
Outlook, liquidity, and risks
Management forecast company-wide cash burn of $1,500–$1,750 per quarter through 2015, assuming a normal wet season, and said existing cash should fund operations well into Q2 2015, when additional financing would be needed. Potential sources include Guadalupe option payments, sale of mill equipment or other non-core assets, and—after February 15, 2015—potential liquidation of Midas shares. Management cautioned that none of these sources is assured; its financing plans did not assume the Los Cardones payment.
The Northern Territory government committed non-recourse funding for the first year of a proposed water-management program intended to reduce acidic metalliferous water at Mt Todd by 70%. The initial program is planned through approximately July 2015 and is expected to mitigate unexpected environmental expenditures during that period. Longer-term funding and program scope remain uncertain.
Management stated that continued viability depends on securing funding and ultimately generating profits; the statements were prepared on a going-concern basis and do not include adjustments that might be required if the company cannot continue as a going concern. Risks include difficult capital markets for non-producing miners, uncertain asset-sale proceeds, gold-price and foreign-exchange volatility, permitting and environmental obligations, project feasibility, and reliance on counterparties. The company expects continuing losses and no dividends for the foreseeable future. No material litigation or material changes to previously disclosed risk factors were reported.
Important facts for investors to verify
- Whether Vista obtained adequate funding after the stated Q2 2015 runway, and whether actual cash burn tracked the forecast.
- Whether Cangold made scheduled Guadalupe payments and met its option obligations.
- Whether the $6,000 Los Cardones payment was received, or the project reverted to Vista.
- Whether the Midas-share lockup expired and how any subsequent sale or price movement affected liquidity and reported earnings.
- Progress, scope, and funding of Mt Todd water treatment, and any decision to fund or restart the feasibility study.
- The value and saleability of mill equipment carried at $6,500, which was a Level 3 fair-value estimate.
