Sales fell 2.8% overall, reflecting a 2.1% decline in core sales and a 0.6% adverse currency effect, partly offset by acquisitions. Cost of sales excluding acquisition-related intangible amortization was 53.8% of sales, versus 55.1% in 2022. Higher SG&A and R&D, restructuring costs, and interest expense contributed to lower operating and net earnings. Interest expense, net, rose to $93.7 million from $69.6 million.

Segment sales were $1,003.8 million for Mobility Technologies (+10.6%), $651.5 million for Repair Solutions (+6.5%), and $1,323.7 million for Environmental & Fueling Solutions (−11.4%). The latter segment’s decline mainly reflected the end of the U.S. EMV outdoor-payment upgrade cycle. Segment operating profit was $199.9 million, $170.0 million, and $369.5 million, respectively.

At year-end, cash and cash equivalents were $340.9 million; total debt principal was $2.3 billion, including $700 million of variable-rate term loans. The company had $750 million available under its revolving credit facility and reported compliance with debt covenants. It voluntarily repaid $300 million of term loans in 2023. The company paid quarterly dividends of $0.025 per share and repurchased $74.7 million of stock during the year. Management stated that available liquidity was sufficient for expected cash needs.

Changes, outlook, and notable items

  • Mobility Technologies and Repair Solutions grew, while Environmental & Fueling Solutions contracted. The segment realignment in Q1 2023 created the current three-segment reporting structure; prior-period segment figures were recast.
  • Management expects core sales to increase year over year in 2024, citing demand across the portfolio. The filing gives no specific growth percentage or earnings guidance.
  • Vontier sold Global Traffic Technologies in April 2023 for $108.4 million and recorded a $34.4 million gain. Coats was classified as held for sale at year-end and sold in January 2024 for $72.5 million, subject to closing adjustments. A portion of the Coats proceeds was used for debt repayment and share repurchases.
  • Restructuring and related charges were $25.2 million in 2023, versus $11.5 million in 2022; substantially all 2023 actions were completed by year-end. A gain on sale partly offset other pressure on pretax earnings.
  • Backlog was $626.0 million at year-end, down from $677.3 million; the company expected to deliver most unfilled orders in the first half of 2024.
  • Principal risks include economic and end-market weakness, technology shifts toward alternative power, supply-chain disruption, foreign exchange, higher interest costs, software renewal rates, cybersecurity and data privacy, regulation, and litigation. Asbestos-related liabilities were $94.3 million gross, with $56.6 million of projected insurance recoveries. The auditor identified the allowance for credit losses on commercial purchase security agreements as a critical audit matter; the portfolio was $346.4 million with a $41.5 million allowance.

Important facts for investors to verify

  • Whether 2024 core-sales growth materializes, especially given the sharp 2023 decline in Environmental & Fueling Solutions and lower backlog.
  • Debt refinancing and interest-rate exposure: $700 million of variable-rate debt and $100 million of term loans due in 2024; management estimated a 100-basis-point rate increase would add about $7 million of annual interest expense.
  • Performance and credit quality of Repair Solutions financing receivables, including allowance assumptions and the impact of reserve-related adjustments.
  • Whether Mobility Technologies growth and investment can translate into sustained profit and margins, and how acquisitions and software subscriptions perform.
  • Potential changes in asbestos, tax, regulatory, cybersecurity, and other contingencies; management did not expect the disclosed legal proceedings to materially affect financial position, results, or cash flows.
