Diversified Products sales fell 8.2% to $428.0 million; Retail sales fell 12.0% to $167.3 million. Trailer shipments increased 12.8% to 64,700 units. The company attributed the major margin improvement to higher volumes, improved pricing, productivity and operational efficiencies.
Fourth-quarter 2015 sales were $543.7 million, gross profit $87.8 million and net income $33.3 million, compared with $527.5 million, $62.7 million and $19.1 million, respectively, in Q4 2014.
Liquidity, debt and capital allocation
- At year-end, cash and cash equivalents were $178.9 million, working capital $318.4 million and reported liquidity—cash plus available revolving borrowing capacity—$347.9 million, up $58.0 million year over year.
- Total debt and capital lease obligations were $315.6 million, down from $332.5 million. The company reported $191.4 million outstanding under its term loan and $131.0 million principal outstanding on convertible notes. No material revolver borrowings were outstanding.
- Operating cash flow increased to $131.8 million; working capital used $16.6 million of cash. Investing activities used $7.6 million, while financing activities used $91.4 million, principally reflecting $60.1 million of share repurchases and $22.9 million to repurchase convertible notes.
- The $60 million share-repurchase authorization was exhausted in 2015. In February 2016, the board authorized a further $100 million repurchase program. No common dividends were paid in 2015.
- Management expected 2016 capital expenditures of approximately $30 million and stated that liquidity should be adequate for planned operations, working capital and capital spending.
Outlook, risks and unusual items
- Management cited strong industry demand and a year-end backlog of approximately $1.191 billion, up from $1.087 billion. Most backlog orders were expected to be completed within 12 months, but orders may be changed or cancelled.
- For 2016, Wabash forecast 60,000–62,000 new trailer sales, 4%–7% below 2015, partly due to a road construction project affecting dry-van production. Management expected further margin improvement from pricing, productivity and cost optimization. Industry forecasts cited in the filing projected 2016 demand of about 279,000–299,000 trailers.
- Key risks include the cyclical trailer market, customer concentration (the five largest customers represented 25% of sales), reliance on a limited supplier base, commodity price and component availability, competition, execution of diversification plans, and customer credit and financing conditions. Raw materials and components were approximately 63% of sales.
- Debt-related risks include variable-rate exposure, restrictive covenants and conditional maturity provisions linked to the outstanding convertible notes. A 100-basis-point rate change was estimated to alter annual interest expense by approximately $0.8 million. Management reported compliance with credit agreement covenants at year-end.
- A Brazilian joint-venture dispute remains unresolved. A lower court award was approximately R$26.7 million (about $6.9 million), excluding potentially substantial interest, fees or inflation adjustments estimated by the company at up to approximately $48 million. The judgment was not enforceable pending appeal; no loss was accrued because the outcome and amount could not be reasonably estimated.
- Other notable items included an $8.3 million gain on real estate sales, $5.3 million of accelerated amortization and related refinancing fees, and a $1.1 million intangible-asset impairment. The effective tax rate was 36.1%; cash taxes paid were $66.3 million, versus $20.2 million in 2014.
- The company reported an unqualified audit opinion on its financial statements and effective internal control over financial reporting. Its annual report on internal controls was also unqualified.
Important facts for investors to verify
- Whether backlog converts to sales on schedule and whether the 2016 shipment and margin outlook is achieved.
- Progress on the planned $35.2 million convertible-note repurchase, scheduled for early 2016, and the remaining note maturity, liquidity and covenant requirements.
- Actual capacity, utilization and supply availability, including exposure to steel, aluminum and other input costs and the company’s ability to pass cost increases through.
- Updates on the Brazilian appeal and environmental matters, including whether any additional loss becomes probable and estimable.
- Performance and profitability of Diversified Products as the company pursues growth and reduces reliance on cyclical trailer demand.
