Proprietary Products sales increased 6.2% to $308.8 million, or 8.0% excluding currency, supported by high-value products including FluroTec-coated components and self-injection systems. Contract-Manufactured Products sales increased 10.6% to $79.1 million, or 11.4% excluding currency, primarily due to the commercial ramp-up of large projects initiated in the second half of 2016.

At March 31, 2017, cash and cash equivalents were $169.4 million, working capital was $396.1 million, total debt was $228.6 million and total equity was $1.17 billion. The company had $270.1 million of available borrowing capacity under its $300.0 million revolving credit facility and was in compliance with its debt covenants.

Material changes versus the prior comparable period

  • Results benefited from higher volume, price increases and production efficiencies, partially offset by higher labor, material and overhead costs.
  • Q1 2017 included no restructuring or Venezuela devaluation charges. Q1 2016 included $22.9 million of restructuring charges and a $2.7 million Venezuela currency devaluation charge.
  • The 2017 effective tax rate was 3.6%, compared with 24.8% in 2016, primarily because adoption of share-based-payment accounting guidance produced a $15.9 million tax benefit, or approximately $0.21 per diluted share.
  • Net income also benefited from a $2.4 million increase in equity income from affiliates, primarily reflecting gains on investment-security sales by Daikyo.
  • The company contributed $20.0 million to its U.S. qualified pension plan and repurchased 325,000 shares for $26.9 million under its authorized repurchase program.

Cash flow, liquidity and debt

Operating cash flow of $20.7 million was partly reduced by the pension contribution and working-capital investment. Investing cash outflows were $34.7 million, including $37.5 million of capital expenditures for new products, expansion and emerging markets, including the Waterford, Ireland facility. Financing cash outflows were $21.8 million, including dividends, share repurchases and debt repayment. Cash decreased by $33.6 million during the quarter.

The term loan, due January 2018, had a $34.3 million current portion. The revolving facility had $26.9 million outstanding and $3.0 million of letters of credit. Management stated that cash on hand, operating cash generation and available credit should be adequate for foreseeable liquidity needs.

Outlook, commentary, risks and unusual items

The filing does not provide a specific quantitative 2017 revenue or earnings guidance range. Management described growth in high-value proprietary products, ongoing investment in delivery and container systems, and the ramp-up of contract-manufacturing projects. Results for interim periods are not necessarily indicative of full-year performance.

  • Key risks include customer demand and inventory changes, competition and pricing pressure, regulatory approval and commercialization of customer products, supply-chain interruptions, dependence on selected suppliers and partners, skilled-labor availability, foreign-exchange movements and petroleum-based raw-material costs.
  • Venezuelan operations remain exposed to currency controls and further devaluation. Management stated that a future pre-tax charge of up to $15.0 million could result from potential deconsolidation of the Venezuelan subsidiary.
  • SmartDose contingent consideration was $8.2 million at March 31, 2017. Its valuation depends on sales projections, probability of success and discount rates and could change materially.
  • Future minimum payments under non-cancelable operating leases were $65.8 million. The filing reported no significant changes to other commitments or contingencies and no material legal proceedings.
  • The company adopted accounting guidance affecting intra-entity transfers and share-based payments. It recorded a $4.1 million cumulative retained-earnings adjustment for the former and a $15.9 million tax benefit for the latter.

Investor verification points

  • Separate recurring operating improvement from the $15.9 million discrete tax benefit and the unusually low 3.6% effective tax rate.
  • Assess whether sales growth in high-value proprietary products and contract-manufacturing projects continues after the quarter.
  • Monitor the $34.3 million term-loan maturity in January 2018, revolving-facility usage and covenant compliance.
  • Evaluate cash conversion after the $20.0 million pension contribution, $37.5 million of capital spending and ongoing share repurchases.
  • Track Venezuela currency, political and liquidity developments, raw-material costs, foreign-exchange exposure and SmartDose contingent consideration remeasurement.
  • Review the company’s assessment of forthcoming revenue-recognition, lease and pension-accounting standards and their eventual financial-statement effects.
