  • Total debt principal was $3.693 billion, including $2.003 billion of term loans, $1.150 billion of 2025 senior notes and $300 million of senior debentures. Debt carrying value was $3.572 billion.
  • XPO redeemed $2.769 billion of senior notes during 2021 and repaid $200 million of ABL borrowings. There were no significant debt maturities until 2025.
  • The ABL Facility had $995 million of availability at year-end and matures in April 2024. XPO was in compliance with its debt covenants.
  • The European receivables securitization program had a maximum availability of approximately $227 million and was fully utilized at year-end; no related short-term borrowings were outstanding at December 31, 2021.
  • Management stated that existing liquidity and capital sources were sufficient to support operations for the next 12 months.

Material changes versus the prior comparable period

  • Revenue and profitability rebounded from the COVID-19-affected 2020 period, with stronger LTL volumes, pricing and brokerage activity.
  • Operating income rose by $388 million, while interest expense fell 31.3% to $211 million because of lower average debt balances.
  • A $54 million debt extinguishment loss was recorded in 2021 from debt redemptions, refinancing and related costs.
  • The GXO spin-off materially changed the company’s scale and capital structure. GXO’s historical results were classified as discontinued operations; 2021 continuing-operations revenue excludes $4.350 billion of GXO revenue.
  • XPO issued common stock and received approximately $384 million of net proceeds in 2021. There were no share repurchases during the year, and $503 million remained under the repurchase authorization.
  • Transaction and integration costs declined to $37 million from $75 million, and restructuring costs declined to $19 million from $31 million.

Guidance, outlook, commentary and unusual items

  • XPO expects 2022 net capital expenditures of approximately $425 million to $475 million, funded by cash on hand and available liquidity.
  • The company’s North American LTL action plan targets improved network flow, higher pricing, driver expansion, increased trailer production and 900 net new terminal doors by year-end 2023. Management expects approximately $25 million of annualized pre-tax restructuring savings by the end of 2022.
  • XPO graduated approximately 900 professional drivers from its training schools in 2021 and plans to double that number in 2022. It also expects to double trailer production year over year in 2022.
  • Management cited continuing labor shortages, driver constraints, equipment shortages, supply chain disruptions, semiconductor shortages, inflation and higher fuel and transportation costs. Increased customer pricing partially offset these pressures in 2021.
  • COVID-19-related costs continued, although management stated that mitigation actions reduced the effect on profitability relative to revenue and volumes.
  • XPO recorded $31 million of 2021 litigation settlements related to independent-contractor classification matters, including settlements of $20 million and $9.5 million in two California class actions.
  • The spin-off generated approximately $125 million of related costs, including $101 million recorded in discontinued operations. The tax-free treatment remains subject to the underlying facts, representations and potential IRS challenge.
  • Key risks include economic and freight-volume cyclicality, labor and driver shortages, fuel and interest-rate volatility, cybersecurity and technology dependence, foreign currency exposure, regulatory changes, independent-contractor reclassification, litigation, and reliance on third-party carriers.

Important facts for investors to verify

  • Reconcile continuing-operations results with the discontinued GXO operations and assess the post-spin-off earnings base.
  • Review the 2025 debt maturities, floating-rate exposure, LIBOR transition provisions and ABL covenant requirements.
  • Evaluate whether LTL pricing, network-efficiency, driver-recruitment and trailer-production initiatives produce the targeted margin improvement.
  • Monitor cash conversion, receivables securitization usage, capital expenditures and the expected reduction in year-end cash following debt repayments.
  • Track independent-contractor litigation, unionization efforts and potential regulatory changes affecting worker classification.
  • Assess the tax-free status of the GXO spin-off and XPO’s uncapped indemnification obligations under separation-related agreements.
  • Consider the sensitivity of results to freight volumes, fuel prices, labor costs, interest rates, foreign exchange and continuing supply chain disruption.
