Material changes and unusual items

  • Revenue increased 3%, operating profit 6%, and diluted EPS 23% year over year. EPS excluding special items increased 14%.
  • The 2023 effective tax rate was 12.1%, compared with 20.3% in 2022; excluding special items, it was 20.6% versus 20.9%. Tax benefits from intellectual-property transfers and valuations contributed to the lower reported rate.
  • YUM completed the sale of its KFC Russia business in April 2023, receiving $121 million in cash and recording a $3 million charge on the sale. The company had transferred its Pizza Hut Russia business in 2022.
  • YUM recorded $39 million of operating-profit special items in 2023, including resource-optimization costs, Russia-exit effects and market-wide refranchising losses. The company also recorded $8 million of special-items tax benefit.
  • Quarterly dividends paid in 2023 were $0.605 per share. In January 2024, the board declared a quarterly dividend of $0.67 per share, an 11% increase.

Outlook, commentary and key risks

  • Management expects 2024 foreign-exchange movements to reduce divisional operating profit by approximately $10 million to $30 million, mainly in the first half. Management said the Middle East-related sales impact, which was a low-single-digit headwind to fourth-quarter same-store sales, continued into early 2024 and was expected to lessen over the year.
  • For 2024, YUM expects net capital expenditures of approximately $275 million, with gross capital expenditures up to $315 million and refranchising proceeds of about $40 million. The company expects operating cash flow to remain above $1.3 billion.
  • YUM agreed to acquire 218 KFC restaurants in the U.K. and Ireland; the filing expected the cash-funded transaction to close early in 2024. The company also expects company-store investments to exceed refranchising proceeds by $85 million to $95 million, partly to grow Habit Burger Grill and continue Taco Bell investment.
  • Major risks include reliance on franchisees and master franchisees, consumer demand and intense competition, food and labor inflation, supply-chain disruption, currency and geopolitical exposure, and cybersecurity and data-privacy threats. Sales weakness related to the Middle East conflict was disclosed; YUM also cited exposure to the Russia-Ukraine conflict and potential consumer boycotts.
  • A January 2023 ransomware attack disrupted systems and briefly closed fewer than 300 restaurants in one market. Employee information was taken; the company reported no evidence that customer databases were accessed. Related putative employee class actions were filed.
  • The IRS asserts a proposed 2014 tax underpayment of $2.1 billion, plus $418 million in penalties and estimated interest of $1.1 billion through year-end 2023. YUM disputes the claim, is contesting it, and recorded no reserve; an adverse resolution could materially affect future financial statements.
  • An Indian regulatory matter includes a penalty order of approximately $135 million, which is stayed while proceedings continue. YUM denies liability and says a significant loss is not probable. The filing also discloses $375 million of potential undiscounted lease-guarantee payments, while the recorded expected liability was not material.

Important facts for investors to verify

  • Review the full financial statements and notes for debt maturities, covenant terms, refinancing needs and the distinction between unrestricted cash and restricted cash.
  • Track underlying sales and unit growth by brand, especially Habit Burger Grill’s negative same-store sales and operating losses, and the effects of Middle East conditions.
  • Assess the sustainability of reported EPS growth in light of the unusually low 2023 GAAP tax rate and the tax benefits from intellectual-property matters.
  • Monitor the IRS dispute, India regulatory proceedings, cybersecurity litigation and any changes to associated contingencies or reserves.
  • Confirm completion and financial contribution of the planned U.K. and Ireland KFC acquisition, 2024 investment plans, and the effect of foreign exchange on operating profit.
