Material Changes Versus the Prior Comparable Period
- Revenue declined primarily because the current quarter had one fewer operating week and demand remained weak amid economic uncertainty and customer inventory reductions.
- Gross margin declined because of a higher concentration of lower-margin products.
- Operating income was reduced by the revenue decline, lower gross margin and a $14.1 million restructuring charge for severance and related benefits covering 137 foreign employees. The company estimated annual savings of approximately $17.0 million once implemented.
- Research and development expense increased 1% to $125.2 million, while selling, marketing, general and administrative expense declined 1% to $97.6 million.
- The effective tax rate decreased to 12.6% from 22.6%, primarily because of international tax restructuring and reinstatement of the U.S. research and development tax credit, which reduced the rate by approximately 4 percentage points.
- Accounts receivable declined 3% and inventory declined 2% from November 3, 2012, but days sales outstanding increased from 45 to 48 and days of inventory increased from 114 to 121.
- The company replaced its former $165.0 million revolving facility with a new $500.0 million five-year senior unsecured revolving credit facility. No borrowings were outstanding, and the company was in compliance with its covenants.
Guidance, Outlook, Risks and Unusual Items
Management planned second-quarter fiscal 2013 revenue to increase approximately 4% to 8% sequentially, gross margin to be approximately 64%, operating expenses to be approximately $224 million, an effective tax rate of approximately 17%, and diluted EPS of $0.49 to $0.55. Management expected fiscal 2013 capital expenditures of approximately $90 million to $110 million and anticipated quarterly dividends of $0.34 per share, subject to board approval.
Management cited weak demand, economic uncertainty, semiconductor cyclicality, customer order volatility, inventory risk, competitive pricing pressure, manufacturing capacity and yield constraints, reliance on third-party suppliers and foundries, international operations, foreign-exchange exposure, tax uncertainty, litigation and intellectual-property risks, environmental requirements, and possible disruptions from natural disasters or geopolitical events.
Distributor revenue is deferred until resale to end customers. Gross deferred revenue was $302.4 million and gross deferred cost of sales was $59.0 million at February 2, 2013. Changes in distributor price-adjustment credits, returns or market conditions could materially affect future revenue and gross margin. The company also disclosed a $36.5 million potential tax liability related to an open Section 965 matter, although management concluded that no additional liability was likely and recorded none.
On February 18, 2013, the board declared a $0.34 per-share dividend payable March 12, 2013. The filing states that disclosure controls were effective and that no material change occurred in internal control over financial reporting.
