Fanhua Inc. — FY2017 Form 20-F Summary
Issuer note: The supplied filing identifies the registrant as Fanhua Inc. (formerly CNinsure Inc.), not AIFU Inc. It is an annual report for the year ended December 31, 2017, not a standalone fourth-quarter report. Financial comparisons below are year over year; the filing does not provide a clear standalone Q4 income statement.
Business context and reporting period
Fanhua is a China-focused insurance intermediary and claims-adjusting services provider, reporting under U.S. GAAP. In 2017 it disposed of its insurance brokerage business and sold 19 property-and-casualty (P&C) intermediary entities, shifting its P&C auto business toward a platform-fee model. Prior-period results were recast for discontinued operations.

Reported net margin was about 11.1%, compared with 4.1% in 2016.
Income tax expense rose to RMB167.8 million from RMB27.2 million, reflecting in part withholding tax provision on dividend payments; the reported effective tax rate increased to 33.2% from 22.0%. Investment income was RMB191.8 million, up 66.4%, and equity-method income from affiliates was RMB108.9 million, up 125.6%.
Material changes versus the prior comparable period
- Revenue was nearly flat overall, but the mix shifted sharply from P&C to life insurance. Management attributed life growth to more agents, new branches and industry growth.
- P&C revenue contracted amid the PICC P&C cooperation suspension, the exit from lower-margin channels and the transition to a platform-fee model. Management expected P&C revenue to continue declining in 2018, while stating that the new model’s gross-profit effect should be limited because associated costs are minimal.
- Operating results improved substantially, supported by life-insurance growth and lower selling expenses, including no repeat of the 2016 promotional campaign expense of RMB299.9 million.
- The company sold the P&C entities to Cheche for stated consideration of RMB225.4 million, including RMB95.4 million cash and a RMB130.0 million convertible receivable. The receivable was initially recorded at fair value of RMB22.0 million, an RMB108.0 million reduction from its stated principal; it carries a 10% annual return and is convertible or collectible in three years.
- Brokerage operations were disposed of for RMB46.6 million and presented as discontinued operations. FY2017 discontinued-operations income was RMB5.5 million, compared with RMB22.5 million in FY2016.
Outlook, commentary, risks and unusual items
- Management expected continued life-insurance growth and further investment in online platforms and distribution. It said available cash and expected operating cash flow should meet anticipated needs for at least 12 months; no numeric earnings or revenue guidance was provided.
- Revenue concentration is material: Huaxia and Tian’an accounted for 24.2% and 22.3% of 2017 net revenue, respectively. Huaxia and Tian’an together represented 62.5% of year-end accounts receivable.
- PICC P&C temporarily suspended cooperation from March 2017; cooperation resumed in certain regions in Q4. The filing cites partner-contract renewal, fee-rate, regulatory and competitive risks.
- Liquidity includes substantial short-term investments, which expose the company to investment and credit risks. FY2017 also included a RMB500.0 million loan to a third party, secured by a pledge of 99% of a major operating subsidiary of the borrower, and maturing in August 2018.
- Other notable items: operating cash flow was affected by receivables and investment income; a RMB27.9 million foreign-currency translation gain was reported in management’s discussion; the company recorded RMB70.4 million of uncertain tax liabilities and RMB16.8 million deferred tax for declared dividends.
- Fanhua reported no material litigation, no off-balance-sheet arrangements and no bank borrowings. It disclosed RMB106.3 million of operating-lease obligations and stated that its cash dividend policy targeted quarterly distributions of at least 50% of shareholder-attributable net income, subject to board discretion and legal restrictions.
- Key risks include dependence on major insurer partners and productive agents, changing Chinese insurance regulation, platform execution and cybersecurity, RMB controls and currency movements, restrictions on transferring funds from PRC subsidiaries, and the filing’s stated belief that the company was a PFIC for U.S. tax purposes in 2017.
Most important facts for investors to verify
- Confirm the issuer identity: this document is Fanhua Inc.’s Form 20-F, notwithstanding the request metadata naming AIFU Inc.
- Reconcile the large increase in net income with cash generation, investment income, affiliate earnings and the significant rise in tax expense.
- Review the Cheche transaction terms, the RMB22.0 million fair value of the convertible receivable versus RMB130.0 million stated principal, and collection/conversion prospects.
- Assess whether life-insurance growth can offset continuing P&C revenue pressure, including the economics and scale of the platform-fee model.
- Monitor insurer concentration, receivable collections, short-term investment quality and the third-party loan’s repayment status.
- Review dividend capacity given PRC restrictions on distributions, withholding taxes and the company’s substantial restricted net assets.
