Q3 product revenue rose 30% to $14.0 million and service revenue rose 9.8% to $20.3 million. For the nine-month period, products generated $43.2 million and services $58.8 million. The business remained loss-making at the operating level.
Cash flow: Net cash used in operations was $1.7 million for the first nine months of 2022, versus $1.2 million in 2021. Investing used $4.0 million, primarily for capital expenditures, compared with $2.5 million. Financing used $0.5 million, versus $19.7 million provided in 2021, when the company raised equity proceeds. Cash, cash equivalents, and restricted cash fell by $9.7 million to $17.0 million, including $16.7 million of unrestricted cash and cash equivalents.
Liquidity and debt: Working capital was $36.7 million at September 30, 2022. Total debt was $21.3 million, comprising $9.4 million current and $11.9 million long-term; the company had borrowed $3.9 million under its Hapoalim revolver. Management said working capital, expected revenues and operating cash flows, and available revolver borrowings should fund capital requirements through at least November 9, 2023. The company reported compliance with its debt covenants.
Changes versus the prior comparable periods
- Revenue increased 17.2% in Q3 and 11.2% for the nine months, led by product sales in Logistics and Industrial and growth in the installed base supporting services.
- Gross margin improved in Q3 to 50.1%, but declined for the nine-month period to 46.8%. Management attributed the year-to-date decline mainly to higher raw-material, component, and inflation costs, as well as product mix.
- Q3 net loss attributable to common stockholders narrowed to $3.5 million from $4.5 million; the nine-month loss narrowed to $9.0 million from $10.2 million.
- SG&A rose 19.3% in Q3 and 15.6% year to date, reflecting factors including salaries, foreign-currency losses, marketing, and professional fees. R&D expense declined, largely because software development costs were capitalized.
- Cash balances decreased substantially from year-end 2021, while inventory increased from $18.2 million to $23.6 million. Debt repayments were partly offset by increased revolver borrowing.
Outlook, risks, contingencies, and notable items
- Outlook: The filing provides no revenue, earnings, or margin guidance. Management expects inflationary pressure to continue and says it cannot reasonably estimate the broader effects of inflation, rising interest rates, supply disruptions, COVID-19, or the Russia-Ukraine conflict.
- Supply chain and macro risks: Semiconductor shortages and delivery delays have increased lead times, costs, and inventory needs and may delay customer orders. Management said these disruptions reduced profitability; more severe or prolonged disruption could further harm results. Inflation is also pressuring raw-material, freight, and labor costs.
- Financing update after quarter-end: On October 31, 2022, the company entered into an amendment providing a new $10 million Pointer revolving facility, initially available through successive monthly renewals until October 30, 2023. Its initial rate is SOFR plus 2.59%, subject to monthly changes; it is secured and carries a 0.5% annual fee on undrawn amounts.
- Preferred stock: Series A preferred stock was recorded at $56.3 million and has cumulative dividends of at least 7.5% annually, payable in cash or additional preferred shares subject to specified conditions. Three additional shares were issued as dividends during the first nine months of 2022. The preferred stock also has conversion, redemption, and consent rights.
- Goodwill and equity compensation: A sustained share-price decline and continuing losses triggered an interim goodwill impairment test; the company recorded no impairment. It granted executives options covering 5.065 million shares, with performance vesting tied to the stock’s 60-day VWAP reaching specified thresholds between $10.50 and $21.00.
- Legal contingencies: Two Brazilian tax matters were disclosed: approximately $1.2 million, including interest and penalties, and a separate claim of approximately $11.2 million. The company’s counsel assessed loss as not probable; no provision was recorded.
- Financial reporting controls: A previously identified material weakness in controls over the Israel component had not been remediated as of September 30, 2022. The company described remediation steps, including external support, enhanced review documentation, report validation, and personnel training. Management stated the weakness had not caused a restatement and that the interim statements were fairly presented.
