The Company consolidates Amneal LLC, which it manages and controls, despite holding 49.9% of its economic units; the Amneal Group held 50.1%.

Interest expense, net rose to $158.4 million from $136.3 million, mainly reflecting higher rates on variable-rate debt. Management reported approximately $285.9 million of undrawn capacity under the New Revolving Credit Facility, in addition to cash. It believes available resources can fund planned operations and obligations over the next 12 months, subject to business and financing conditions.
Segment performance
- Generics: Revenue rose 4.8% to $1,432.1 million; operating income fell 20.4% to $224.2 million. Growth from recent launches, volume, lower oseltamivir returns and $8.0 million in Orion license revenue was partly offset by price erosion and higher costs.
- Specialty: Revenue declined 1.1% to $374.1 million; operating income rose 28.7% to $72.6 million. Zomig nasal spray lost exclusivity, while promoted Unithroid and Rytary revenue increased 33% and 8%, respectively.
- AvKARE: Revenue increased 16.4% to $406.1 million, but operating income fell 51.2% to $3.3 million. Higher distribution-channel sales carried lower margins.
Material changes and unusual items
- Revenue grew 5.7%, but gross margin declined 1.2 percentage points. Selling, general and administrative expense increased 9.4% to $399.7 million; R&D expense decreased 3.1% to $195.7 million.
- Legal-matter charges, net, were $269.9 million, principally including a $262.8 million charge for Opana ER antitrust settlements and $18.0 million for prescription opioid litigation, partly offset by $15.5 million of securities-litigation insurance recoveries. These charges drove the reported operating loss.
- Amneal recorded $24.1 million of intangible-asset impairment charges, including $11.1 million for marketed products and $13.0 million for in-process R&D, following price erosion, supply-agreement termination, customer changes and development delays.
- Operating cash flow fell by $176.7 million year over year, primarily because of $140.6 million of payments related to Opana ER litigation and a securities class action, together with associated legal fees. Investing cash use was $174.3 million; financing cash use was $106.6 million.
- Year-end current assets were $1,411.8 million and current liabilities were $752.8 million. Trade receivables were $741.8 million and inventory was $530.7 million; cash was substantially lower than a year earlier.
Outlook, risks and contingencies
- The filing does not provide full-year 2023 revenue or earnings guidance. Management estimated inflation-related cost pressure of about $15 million in 2023, following an estimated $30 million impact in 2022, and planned $50–$60 million of 2023 capital expenditures.
- Amneal launched two oncology biosimilars in 2022 and planned to launch Flynetra in the first half of 2023. The FDA had accepted the IPX203 application and set a June 30, 2023 decision date.
- The $265 million Opana ER settlement was payable over 2022 through January 2024. After $131.1 million paid during 2022, $133.9 million remained payable at year-end. The Company paid $83.9 million in January 2023, funded primarily by $80.0 million of revolving-credit borrowings.
- Substantial indebtedness, variable interest rates and refinancing needs are key risks. The principal term loan matures in May 2025; the Rondo term loan matures in January 2025. The filing identifies covenant, interest-rate and refinancing risks.
- Other material exposures include generic-drug price competition and customer concentration (four largest customers represented approximately 71% of 2022 revenue), supply dependencies, regulatory and product-quality requirements, and pending generic-pricing antitrust, opioid and other litigation and investigations. Outcomes of these proceedings are uncertain; the filing says some potential losses cannot currently be estimated.
- A potential tax receivable agreement liability of approximately $202.7 million was not fully recognized because realization of the related tax assets was considered unlikely; only $0.6 million was accrued at year-end. The Company reported a $434.9 million valuation allowance against deferred tax assets.
Important facts for investors to verify
- Reconcile the substantial net loss and operating-cash-flow decline to legal settlements, cash payments and other nonrecurring items; assess expected remaining litigation payments.
- Confirm current cash, revolver availability and debt balances after the January 2023 settlement payment, and evaluate refinancing and interest-rate exposure ahead of 2025 maturities.
- Track generic price erosion, segment margins and the sustainability of AvKARE’s distribution-led growth.
- Monitor commercial uptake and regulatory timing for biosimilars and IPX203, alongside the expected inflation and capital-spending assumptions.
- Review developments in opioid, generic-pricing antitrust and other legal matters, as well as the assumptions supporting sales-return and rebate accruals.
