Ardelyx, Inc. — FY 2023 Form 10-K
Reporting period: Fiscal year ended December 31, 2023. This is an annual filing, not a standalone fourth-quarter report; the supplied filing does not provide a clear Q4-only financial results summary. Ardelyx is a biopharmaceutical company commercializing IBSRELA for adult IBS-C and, following FDA approval in October 2023, XPHOZAH for certain adults with CKD on dialysis.

Revenue increased 139%, driven primarily by a full year of IBSRELA sales and collaboration milestones. IBSRELA sales were $80.1 million; XPHOZAH sales, which began in November, were $2.5 million. Licensing revenue was $35.8 million, including $30.0 million tied to Japanese approval and related Kyowa Kirin agreement payments and $5.0 million in Fosun milestones. Product supply revenue was $6.1 million.
Total cost of goods sold was $17.8 million, making reported gross profit approximately $106.7 million, or 85.7% of total revenue. This blended margin includes collaboration and product-supply revenue and should not be read as product-sales margin. Operating expenses were $169.9 million: R&D was $35.5 million and SG&A was $134.4 million. SG&A rose 75%, reflecting commercial launches and increased personnel and infrastructure costs; R&D was nearly flat. The operating loss narrowed slightly, while net loss improved by about $1.1 million.
Year-end current assets were $246.1 million and current liabilities $50.4 million. Cash and cash equivalents fell to $21.5 million, while short-term investments rose to $162.8 million. Operating cash use increased, partly reflecting working-capital needs, including manufacturing prepayments and inventory. Financing provided $146.3 million, including $119.2 million net ATM equity proceeds and $22.4 million net loan proceeds. Shares outstanding increased to 232.5 million from 198.6 million at year-end 2022.
Changes, outlook and material risks
- Commercial expansion: IBSRELA sales rose from $15.6 million to $80.1 million. XPHOZAH launched late in 2023 after FDA approval. Management described commercialization as its priority.
- Liquidity outlook: Management stated that year-end liquid funds were expected to support planned operations for at least one year from issuance of the financial statements, while cautioning that assumptions could prove wrong and additional capital may be needed. The filing gives no numerical revenue or earnings guidance.
- Debt and funding: The SLR facility had $50.0 million principal outstanding, a March 2027 maturity and interest-only payments through December 2026. The company expected to draw an additional committed $50.0 million Term C loan before its March 15, 2024 option expiry; a further $50.0 million Term D facility was uncommitted and subject to lender approval. The debt is secured by substantially all assets other than intellectual property, subject to stated exclusions, and includes covenants and default provisions.
- XPHOZAH reimbursement exposure: Unless further legislative or regulatory action changes the schedule, oral ESRD-related drugs without injectable or intravenous equivalents, including XPHOZAH, are expected to enter the ESRD prospective payment system on January 1, 2025. Separate Medicare Part D payment would cease; TDAPA eligibility and later bundle-rate adjustments are uncertain and could materially affect revenue and profitability.
- Pipeline: RDX013’s Phase 2 study did not meet its primary endpoint at four weeks, despite statistically significant potassium reductions versus placebo at eight days. Further work, including a possible formulation and study, is deferred pending resources. RDX020 remains in discovery; meaningful advancement of these assets is not currently expected before commercial priorities are addressed.
- Other unusual items: Future Kyowa Kirin Japanese royalties and commercial milestones covered by the HCR agreement are to be remitted to HCR. Ardelyx recorded a $20.2 million deferred royalty obligation and $3.9 million non-cash interest expense in 2023; it had received no Kyowa Kirin royalty payments by year-end. AstraZeneca receives 10% of tenapanor net sales and 20% of specified non-royalty collaboration revenue, up to an aggregate $75.0 million.
- Execution and legal risks: The company relies on third-party manufacturers, including single-source suppliers, and faces reimbursement, competition, product-safety, regulatory, patent and financing risks. Securities class-action and derivative lawsuits remained pending; management said it considered the claims without merit and recorded no contingent liability. The auditor issued unqualified opinions on the financial statements and internal control over financial reporting.
Investor verification checklist
- Track quarterly IBSRELA and XPHOZAH net sales, prescription and patient trends, gross-to-net deductions, and commercial spending relative to sales growth.
- Verify coverage, reimbursement and access for both products, especially CMS decisions on XPHOZAH, TDAPA eligibility and the 2025 ESRD bundle transition.
- Reconcile cash burn, working-capital and manufacturing commitments, management’s stated liquidity runway, and whether the expected Term C loan was drawn after year-end.
- Review debt covenants, floating-rate interest expense, repayment terms and any future equity issuance or dilution.
- Monitor single-source manufacturing capacity, supply continuity, inventory utilization and potential write-downs.
- Confirm the status and financial exposure of the pending lawsuits, HCR royalty remittances and remaining AstraZeneca obligations.
