Investing cash outflow was $7.44 million, primarily for plant construction, short-term investments and an acquisition-related deposit; financing cash inflow was $5.35 million, including $11.27 million of net IPO proceeds. Management said approximately $6.15 million of year-end receivables had been collected by the filing date.

Changes versus FY2020

  • Revenue rose 39.9%; fragrance compounds increased 61.7% to $12.74 million, and health supplement powder drinks increased 71.2% to $6.66 million. Bioactive food ingredient revenue fell 5.6% to $6.09 million.
  • Growth reflected higher prices and volumes in fragrance and powder drinks, more customers, and a favorable currency translation effect. Bioactive ingredient demand—especially for stachyose—eased after pandemic-related demand in FY2020.
  • Gross profit increased 36.7%, but gross margin contracted 0.7 percentage point to 27.9%, reflecting product mix and higher raw-material costs. Operating expenses declined slightly to $1.71 million; operating margin improved.
  • Net income grew 48.8%. Net cash from operations also improved, while capital spending remained substantial. Year-end current liabilities declined, in part as bank and related-party borrowings were repaid; taxes payable remained elevated.

Outlook, risks and unusual items

  • Expansion: Management targets at least 30% compound annual growth in its raw materials and ingredients business over the next two to three years. It plans to expand production, R&D, marketing and distribution. This is a management target, not guaranteed guidance.
  • Capital commitments: Two manufacturing projects had approximately $5.1 million of remaining capital commitments at September 30, 2021, including about $2.3 million due within 12 months. The Tongchuan project budget had increased to approximately $17.7 million; completion was expected by December 2022. The Yumen project budget was approximately $6.2 million, with completion expected around October 2022.
  • Liquidity and taxes: The company reported approximately $5.1 million in taxes payable at year-end, including about $3.3 million VAT and $1.7 million income tax. Authorities extended settlement to June 30, 2022 without interest or penalties during the extension. Management expected available cash, short-term investments, operating cash flow and unused credit facilities to cover at least 12 months from issuance of the financial statements.
  • COVID-19: FY2021 results benefited from resumed operations and increased orders, but the filing warns that renewed outbreaks could disrupt production, supply, deliveries, collections and cash flows.
  • Corporate structure: The company terminated its VIE arrangements effective November 1, 2021 and moved to indirect equity ownership of Xi’an App-Chem through PRC wholly foreign-owned subsidiaries. Its online-sales license was revoked and online sales were outsourced to a licensed third party. Management said the restructuring did not change control; PRC regulatory interpretation and potential retrospective consequences remain uncertain.
  • Other material risks: Customer and supplier concentration (two customers represented 61.6% of FY2021 revenue); product safety and efficacy claims without company-sponsored clinical trials; PRC regulatory, foreign-exchange and dividend-transfer risks; construction, lease and permit compliance; competition; and currency exposure. The filing also discloses material weaknesses in financial reporting controls, including insufficient U.S. GAAP/SEC expertise and documented close procedures. Management concluded controls were ineffective at September 30, 2021 and had not fully remedied the weaknesses.
  • Unusual items: FY2021 included $449,972 of government subsidies. The company completed a $12.65 million gross IPO in June–July 2021. A $1 million consulting/acquisition deposit was refundable under stated conditions. No material litigation or off-balance-sheet arrangements were reported; the company did not expect to pay dividends in the foreseeable future.

Important facts for investors to verify

  • Whether the $5.1 million tax balance was settled by the extended June 30, 2022 deadline and whether any additional tax, interest or penalties arose.
  • Progress, total cost, funding and commissioning of the Tongchuan and Yumen plants, including whether planned capacity and customer demand materialized.
  • Whether customer concentration and receivable concentration remain high, and whether the FY2021 customer orders and collections were sustained.
  • Whether internal-control remediation was completed and whether subsequent filings report any additional weaknesses or audit adjustments.
  • Current status and regulatory compliance of the post-VIE ownership structure, overseas listing requirements, and the replacement online-sales arrangements.
