  • Accounts receivable rose to RMB2,189.0m; turnover improved to 82 days from 84. Inventory rose to RMB1,026.0m, while inventory turnover worsened to 106 days from 102. Accounts payable fell to RMB421.6m, and payable turnover declined to 71 days from 116.

Material changes and unusual items

  • Services revenue grew faster than product sales, driven by growth in the consignment and service-fee models. Brand partners increased to 266 from 231.
  • Operating expenses grew 20.3%, slower than revenue growth. Fulfillment expense rose 34.6% and increased to 25.5% of revenue from 23.1%; sales and marketing expense rose 17.4%. Cost of products increased to 85.1% of product sales from 81.1%, which management attributed to promotions and a change in category mix.
  • Other operating income was RMB57.1m, versus expense of RMB17.8m in 2019; 2020 income was mainly government subsidies. The company recognized RMB40.1m of cash subsidies in 2020 and stated such subsidies are non-recurring. Inventory write-downs were RMB108.5m in 2020.
  • COVID-19 slowed growth and increased fulfillment and administrative costs in Q1 2020; management said the impact diminished as the Chinese economy and e-commerce recovered. The filing provides no numerical full-year 2021 earnings or revenue guidance and cautions that future net income may not match prior levels.
  • The company raised approximately US$452.9m net in its 2020 Hong Kong share offering. Subsequent to year-end, it completed the acquisition of Full Jet in Q1 2021; consideration includes deferred payments tied to performance. It also invested approximately US$50m in iClick in January 2021.

Management commentary, risks and contingencies

  • Management emphasized technology investment, omni-channel services, live streaming and short-video commerce, and continued migration of core systems to Baozun Hybrid Cloud. The company reported 25.4% GMV growth despite the pandemic.
  • Business concentration is material: Tmall generated approximately 74.5% of 2020 GMV. The top 10 brand partners represented 58.8% of revenue and 64.6% of GMV; the largest supplier represented 47.0% of purchases.
  • Key risks include reliance on major marketplaces and brand partners, competition, inventory and receivables management, execution of new-brand ramp-ups, cyber and data-security exposure, and the effects of COVID-19 and economic or political tensions.
  • The company operates part of its business through a PRC variable interest entity (VIE) and contractual arrangements rather than direct ownership. PRC regulatory or legal challenges to this structure could impair control, consolidation or access to economic benefits.
  • The filing identifies potential U.S. ADS delisting risk under the Holding Foreign Companies Accountable Act because the PCAOB could not inspect the China-based auditor at the time of filing. It also notes foreign-exchange and cash-remittance restrictions, dual-class voting control, and limited shareholder recourse across jurisdictions.
  • Baozun reported no material off-balance-sheet arrangements and no material legal proceeding known to management at filing. A securities class action related to a former brand relationship was dismissed without prejudice in November 2020. The company does not maintain business-interruption or product-liability insurance.
  • Management and the auditor concluded internal control over financial reporting was effective as of December 31, 2020; the auditor issued an unqualified opinion on the financial statements. The filing reports no dividend plan for the foreseeable future.

Important facts for investors to verify

  1. Confirm annual, rather than standalone Q4, performance and review quarterly results separately if assessing fourth-quarter trends.
  2. Track whether service-led growth improves profitability while fulfillment costs rise and product-sales cost as a share of sales remains elevated.
  3. Assess cash conversion and working capital, particularly rising receivables and inventory, lower payables, and the large inventory write-down.
  4. Review the convertible notes’ 2022 put right, 2024 maturity, conversion dilution potential, and the availability and terms of credit facilities.
  5. Monitor Tmall and major-brand concentration, supplier dependence, and renewals or ramp-up of brand-partner contracts.
  6. Follow developments in PRC VIE, data-security and foreign-exchange rules, and U.S. PCAOB-inspection and ADS-listing requirements.
  7. Evaluate Full Jet’s performance-linked acquisition payments and the return and accounting treatment of the iClick investment.
