  • At year-end, total assets were $1,287.4 million, loans were $687.7 million, deposits were $563.7 million, accounts and drafts payable were $522.8 million, and shareholders’ equity was $174.0 million.

No amounts were outstanding on the reported credit lines; the Bank had $108.0 million in unsecured lines and $150.1 million in secured Federal Home Loan Bank capacity.
  • The filing reports no outstanding short-term borrowings at year-end. Funding includes customer deposits and accounts and drafts payable generated through payment processing.
  • Loan quality weakened: nonperforming loans increased to $6.6 million from $1.7 million; net charge-offs rose to $3.0 million from $1.1 million. The allowance was $12.4 million, or 1.80% of loans, versus $13.0 million, or 1.93%, in 2011. Nonperforming assets were $7.9 million, including $1.3 million of foreclosed assets.

Material changes and fourth-quarter results

  • Compared with 2011, total net revenue increased 4.7%, but net interest income after loan-loss provision declined 7.6% and operating expenses rose 7.1%. Net income increased 1.3%.
  • The decrease in net interest income reflected lower yields in the low-rate environment and a lower net interest margin; the yield on earning assets fell to 4.26% from 4.68%. Lower deposit costs partly offset this pressure.
  • Salary and employee-benefit expense rose 11%, driven partly by higher staffing and the WRC acquisition. Securities-sale gains increased to $2.6 million from $0.04 million and contributed to results.
  • In the fourth quarter, fee revenue and other income were $17.7 million versus $15.8 million a year earlier; net income was $5.3 million versus $5.5 million. The fourth-quarter loan-loss provision was $1.6 million versus $0.3 million.
  • The company issued a 10% stock dividend in December 2012; historical share and per-share data in the filing are restated for it. Cash dividends were $0.64 per share for 2012 versus $0.55 for 2011.

Outlook, commentary and risks

  • Management identified continued expansion of payment and information-processing services and the customer base as its main opportunity. It expected available cash, maturing investments, operating cash flow and borrowing lines to be adequate for 2013 operations and capital needs.
  • Management projected 2013 capital expenditures of $4 million to $6 million, mainly for headquarters leasehold improvements and processing-related equipment and software.
  • Management cited interest rates, business activity, energy costs and new-business opportunities as factors that could affect revenue, earnings and liquidity. The company is particularly exposed to low rates because processing-related accounts and drafts payable are generally noninterest-bearing; sustained low rates may depress net interest income.
  • Other material risks include borrower credit deterioration and lending concentrations, competition and pricing pressure, technology and cybersecurity or processing disruptions, regulatory changes (including proposed Basel III capital rules), and legal, tax and operational risks.
  • A $4.198 million nonaccrual loan was substantially repaid in February 2013: Cass received $4.115 million and charged off $83,000. The filing states that the adjusted nonperforming-assets-to-loans-and-foreclosed-assets measure would have been 0.54%, compared with the reported 1.15% at year-end.
  • The Linens ’N Things-related bankruptcy proceeding was dismissed with prejudice in November 2012. Management said remaining routine legal matters were not expected to have a material effect. The company and Bank exceeded regulatory capital requirements; the Bank was categorized as well-capitalized.

Important facts for investors to verify

  • Whether payment-processing growth and the WRC acquisition generate sustained revenue growth sufficient to offset expense increases.
  • Whether net interest margin stabilizes or declines further, and how rate changes affect income and the value of equity.
  • Performance and resolution of nonperforming loans, the February 2013 repayment and charge-off, and adequacy of the allowance for loan losses.
  • Liquidity trends, particularly fluctuations in accounts and drafts payable, and the availability and terms of credit lines.

  • The company reported unqualified audit opinions on its financial statements and internal control over financial reporting as of December 31, 2012.
