Nine-month net income was dominated by a $1.152 billion non-cash gain on bargain purchase from the Sprint acquisition; it should not be read as a measure of recurring operating profitability. Nine-month interest expense was $71.9 million, versus $45.6 million a year earlier. The Q3 income-tax benefit was $13.6 million.
Revenue, margins, and operating changes
- Q3 revenue rose 83.6%; nine-month revenue rose 49.4%. Sprint contributed $113.0 million in Q3 and $191.0 million from May 1 through September 30.
- Q3 on-net revenue increased 14.9% and off-net revenue 257.7% year over year. For the first nine months, on-net revenue increased 10.7% and off-net revenue 147.3%. Acquired Sprint connections materially affected the off-net increase.
- Q3 network operations expense rose 203.4%, to $173.6 million, and selling, general and administrative expense rose 67.0%, to $65.3 million. Management cited the acquired business, network expansion, power costs, and higher headcount.
- Depreciation and amortization increased to $86.7 million in Q3 from $22.9 million, reflecting acquired and deployed assets. The filing reports Sprint Business pre-tax losses of $82.1 million in Q3 and $141.6 million for the nine months since acquisition.
Cash, debt, and liquidity
- At September 30, cash and cash equivalents were $109.7 million; restricted cash was $56.4 million. Combined cash and restricted cash totaled $166.1 million, down from $275.9 million at year-end 2022.
- Nine-month cash from operations was $66.0 million, investing activities provided $16.6 million (including $116.7 million of T-Mobile IP Transit Agreement receipts), and financing activities used $193.1 million. Dividends paid were $135.4 million and finance-lease principal payments were $58.5 million.
- Debt at par was approximately $1.4 billion, including $500 million of 3.50% secured notes due 2026, $450 million of 7.00% unsecured notes due 2027, and $483.2 million of finance lease obligations. The balance sheet also reported $399.4 million of operating lease liabilities.
- The interest-rate swap had a $56.4 million net liability at quarter-end, with $56.4 million of cash restricted as collateral. The swap exposes Cogent to variable-rate interest costs; a November 2023 settlement required a $12.0 million payment.
- Management said cash on hand and operating cash generation should cover working capital, capital spending, debt service, dividends, and other needs for the next 12 months if the business plan is achieved. It noted refinancing may be needed and cannot be assured on acceptable terms.
Acquisition, outlook, and risks
- The Sprint Business transaction included a $700 million T-Mobile IP Transit Agreement, paid in installments over 54 months. Cogent recorded the agreement as acquisition consideration rather than revenue; the discounted receivable was $620.4 million at acquisition. T-Mobile paid $116.7 million through September, followed by $29.2 million payments in October and November.
- The acquisition produced a $1.152 billion bargain-purchase gain. Purchase accounting estimates remain provisional; the working-capital adjustment and short-term lease payment were expected to be finalized by year-end 2023. T-Mobile disputes approximately $24.2 million of the short-term lease payment classification.
- The transition services agreement can run up to two years, with a possible one-year extension. Cogent was billed $218.0 million and paid $153.1 million under the agreement through September; $69.6 million was payable to T-Mobile at quarter-end. Management said acquired-business cash requirements depend on cost reductions, customer retention, and sales of optical services.
- Management described early positive trends in office occupancy and the corporate business, but said timing remains uncertain. It expects continued network-building activity and anticipates adding a similar number of on-net buildings for the next several years. No numerical earnings or revenue guidance was provided.
- The board declared a $0.955-per-share quarterly dividend for payment in December 2023. Future dividends and buybacks remain discretionary and subject to cash needs, debt covenants, and other factors. The company reported $461.8 million of capacity for restricted payments under its indentures at quarter-end.
- Key risks include integration and synergy execution, acquired-business losses and TSA duration, customer and vendor retention, competition and pricing pressure, power and network costs, office-market weakness, refinancing and variable-rate exposure, and potential delays in accessing uninsured bank deposits. The filing reports a reasonably possible additional loss of up to $4.0 million on leased-circuit matters beyond accrued amounts; management did not expect other ordinary-course claims to have a material effect.
Important facts for investors to verify
- How much of reported growth and future cash generation is attributable to acquired Sprint operations versus Cogent’s legacy business, and whether acquisition synergies and cost reductions materialize.
- Whether the $1.152 billion bargain-purchase accounting, acquired asset and liability valuations, and final T-Mobile purchase adjustments are sustained.
- Timing and collectability of T-Mobile payments, resolution of the disputed lease amount, and the pace at which TSA services and costs decline.
- Recurring operating performance and cash conversion excluding the bargain-purchase gain, including the impact of acquisition-related depreciation, lease costs, and elevated operating expenses.
- Liquidity available after restricted cash, dividends, lease obligations, capital spending, and swap collateral requirements; also monitor refinancing needs and interest-rate exposure.
