Business context

Compugen is a clinical-stage immuno-oncology company using computational discovery platforms to identify drug targets and develop therapeutic candidates. Its clinical-stage programs are COM701 (PVRIG), COM902 (TIGIT), and Bayer-partnered BAY 1905254 (ILDR2). Material changes and financing

  • Revenue fell from $17.8 million in 2018 to zero in 2019 and $2.0 million in 2020. The 2018 total included a $10 million AstraZeneca upfront payment and a $7.8 million Bayer milestone.
  • R&D expense increased 15% in 2020, driven by Phase 1 studies, manufacturing and related activities. Management expected R&D expense to rise about 50% in 2021 as clinical trials expanded, representing approximately 75% of planned operating expenses.
  • The March 2020 public offering generated $74.1 million net. Option and warrant exercises generated approximately $34.2 million. Shares outstanding increased from 67.9 million at year-end 2019 to 83.7 million at year-end 2020.
  • Net cash used in investing activities was $82.2 million in 2020, largely reflecting the placement of higher cash balances into bank deposits; net cash provided by financing activities was $108.5 million.

Outlook, risks and notable items

  • Management expected existing cash and short-term deposits to fund operations through 2023 at the then-current annual spending level. It cautioned that expanded clinical trials and higher spending could shorten the runway; additional financing may be needed.
  • Key execution risks include clinical safety, efficacy and enrollment; dependence on COM701 and, to a lesser extent, COM902; third-party manufacturing and trial providers; collaboration and licensing outcomes; and competition in immuno-oncology. Preliminary COM701 results are not definitive evidence of efficacy or approval prospects.
  • As of the December 14, 2020 data cutoff, the company reported preliminary COM701 activity in small Phase 1 cohorts, including a complete response and a partial response in the combination dose-escalation arm. These are early, non-confirmatory findings.
  • COVID-19 could disrupt staff, suppliers, manufacturing and clinical trials. Compugen also faces Israeli shekel exposure: the U.S. dollar depreciated 7.0% against the shekel in 2020; management estimated a 10% dollar devaluation would cause about $1.3 million of exchange losses.
  • Potential IIA royalties and related obligations were approximately $9.4 million at year-end, contingent on revenue from funded research. IIA rules may also restrict transfer of funded know-how and manufacturing outside Israel.
  • Two parties filed oppositions in October 2020 seeking revocation of a European anti-PVRIG patent. The filing reported no material pending legal proceedings. The company reported effective internal controls; the auditor gave unqualified opinions on the financial statements and internal controls. Accrued clinical and preclinical trial expenses were identified as a critical audit matter.

Investor verification priorities

  • Confirm the cash and deposit definitions behind the $124.4 million selected-data figure versus the $123.8 million liquidity figure, and reassess runway against planned trial spending.
  • Review full COM701 and COM902 trial data, enrollment, safety findings, and whether preliminary signals persist in larger cohorts.
  • Check the timing and conditions of collaboration milestones, royalty economics, and the status of the AstraZeneca and Bayer programs.
  • Assess dilution and potential future capital needs, including outstanding options and warrants, alongside the 2020 share issuance.
  • Monitor the anti-PVRIG patent opposition and the potential IIA royalty and know-how transfer obligations.
