  • Segment results: NAST revenue fell 9.2% to $3.000 billion and operating income fell 18.7% to $108.9 million. Global Forwarding revenue rose 8.7% to $858.6 million and operating income rose 4.8% to $31.6 million. All Other and Corporate revenue rose 6.9% to $553.4 million, while operating loss widened to $13.3 million from $3.1 million.
  • Cash flow: Operating cash flow was negative $33.3 million, versus positive $254.5 million. The company attributed the decline primarily to increased net operating working capital, including higher receivables and contract assets. Investing cash outflow was $22.5 million, mainly capital expenditures and software development. Financing cash inflow was $34.7 million, including $120 million of net borrowings and $74.6 million of dividends paid.
  • Liquidity and debt: Cash and equivalents were $121.8 million at quarter-end, down from $145.5 million at year-end 2023. Total debt was $1.701 billion, including $280 million of revolving-facility borrowings; the company reported compliance with all debt covenants. Its $1 billion revolving facility matures in November 2027, and its $500 million receivables securitization facility matures in November 2025. Management said available cash, expected operating cash flows, and credit availability should meet anticipated needs for at least the next 12 months.

Material changes and management commentary

  • Soft North American freight conditions—weak demand and excess carrier capacity—continued to suppress rates. NAST truckload revenue and adjusted gross profit were pressured, although combined NAST truckload and LTL volumes increased 1.5%; truckload volume declined 0.5% and LTL volume increased 3.0%. Truckload linehaul rates charged to customers and linehaul costs per mile both declined about 7.5%.
  • Global Forwarding benefited from ocean volume growth of 7.0%, air tonnage growth of 23.0%, and customs transaction growth of 8.5%. Waterway disruptions and ocean-to-air conversions increased air freight costs and reduced air adjusted gross profit per metric ton.
  • Average employee headcount declined 11.3% year over year to 14,990. Personnel expense decreased 1.0%, while other selling, general, and administrative expense increased 7.1%.
  • The company began a 2024 restructuring program focused on workforce and organizational changes, technology-project reprioritization, and later facility rationalization. Q1 charges were $12.9 million, including $7.9 million for personnel costs and $5.0 million primarily for software impairments. Management anticipates approximately $25 million of 2024 charges and expects the program to be completed by year-end; later-phase costs and timing may change.
  • The quarterly dividend declared was $0.61 per share. No shares were repurchased under the public repurchase program; 212,545 shares were surrendered for employee tax withholding.

Outlook, risks, and contingencies

The filing provides no specific numerical revenue or earnings guidance. Management expects soft surface-transportation conditions to persist in the near term, as available carrier capacity may absorb modest volume increases. Global shipping disruptions, geopolitical developments, and changes in consumer demand may continue to affect ocean pricing and air freight costs. The company identifies risks including economic and freight-market changes, carrier capacity and relationships, customer loss, technology and cybersecurity, indebtedness and interest rates, litigation and insurance, regulation, and international operations. Routine litigation, including contingent auto-liability matters, is not expected to have a material effect; additional losses cannot always be reasonably estimated. Management reported no material change to the risk factors in its 2023 Form 10-K.

Important facts for investors to verify

  • Whether working-capital demands and negative operating cash flow persist, and how receivables and contract assets convert to cash.
  • Whether NAST pricing and adjusted gross profit per transaction improve as capacity and demand conditions change.
  • Whether Global Forwarding can sustain volume and profit performance amid shipping disruptions and elevated air freight costs.
  • The final cost, timing, and realized savings from the 2024 restructuring program, including planned facility actions.
  • Debt levels, borrowing costs, covenant compliance, and management’s stated liquidity outlook; adjusted profit and margin measures are non-GAAP.
