Adjusted EBITDA (non-GAAP)$11.9 million$12.5 million$45.4 million$34.6 million
  • Quarterly sales fell 6.0%, as Satellite and Space Communications sales declined $10.8 million, partly offset by $2.5 million of growth in Terrestrial and Wireless Networks. Nine-month sales rose 3.2%, with both segments higher.
  • Quarterly gross margin declined 1.3 percentage points year over year; nine-month margin declined 2.5 points. Management cited sales and product mix, including the PST product-line divestiture.
  • Nine-month operating results improved from a loss to income, with management attributing adjusted operating improvement mainly to lower R&D spending. R&D expense fell 44.7% to $20.4 million.
  • The quarterly GAAP net income included a $6.4 million non-cash benefit from revaluing preferred-stock-related warrants and a $5.4 million income tax benefit. Nine-month common-stockholder loss included preferred-stock extinguishment and redemption-value adjustments, partly offset by the warrant benefit and divestiture gain.
  • Quarterly Adjusted EBITDA was 9.3% of sales, versus 9.2% a year earlier; nine-month Adjusted EBITDA was 11.0% of sales, versus 8.6%. These are non-GAAP measures and are not equivalent to GAAP earnings or credit-agreement EBITDA.

Cash flow, balance sheet and financing

  • Cash was $27.2 million at April 30, 2024, versus $19.0 million at July 31, 2023. Current assets were $344.4 million and current liabilities $193.4 million.
  • For the nine months, operating cash flow was $(45.0) million, versus $(0.2) million used in the prior-year period. Management attributed the deterioration primarily to working-capital timing, including receivables and contract activity. The quarter alone used $3.8 million of operating cash.
  • Investing activities provided $24.3 million, including $33.3 million of net proceeds from the PST divestiture; capital expenditures were $8.9 million. Financing activities provided $28.9 million, including $43.2 million of net cash from the Series B preferred issuance and debt activity.
  • At quarter-end, debt under the prior credit facility was approximately $162.0 million net of deferred financing costs. The blended interest rate was 11.35% for the nine-month period. Lease liabilities totaled $39.3 million.
  • Subsequent refinancing: On June 17, 2024, Comtech entered into a new $222 million facility, comprising a $162 million term loan and $60 million revolver, with expected initial borrowings of $187 million. It matures July 31, 2028. At issuance, management estimated available liquidity of approximately $63 million: $28 million of qualified cash and $35 million of revolver availability. The new facility has financial and restrictive covenants and carries warrants issued to term lenders.
  • Despite the refinancing, management states that substantial doubt about the company’s ability to continue as a going concern remains, citing recent operating losses, nine-month operating cash use, uncertainty about forecasts and the ability to comply with new covenants. Management believes available liquidity and expected cash flows should fund operations for the next 12 months, but says this depends on execution and conditions outside its control.

Outlook, developments and risks

  • Management expects fourth-quarter fiscal 2024 net sales and Adjusted EBITDA to be similar to the third quarter; it did not provide GAAP guidance or a quantitative reconciliation of this non-GAAP outlook.
  • Quarterly bookings were $101.7 million, a 0.79x book-to-bill ratio. Funded backlog was $653.4 million at April 30, 2024, and management reported revenue visibility of approximately $1.5 billion. These measures exclude the subsequent Massachusetts NG-911 award.
  • After quarter-end, Comtech signed a Massachusetts NG-911 operations and maintenance contract with a five-year initial term and a five-year renewal option; total value could exceed $250 million if the option is exercised.
  • Management cited order and production delays, component availability, inflation, higher labor and logistics costs, interest rates, government budget uncertainty and geopolitical conflicts. It said financial-condition concerns had temporarily slowed customer orders and supplier component receipts.
  • On March 12, 2024, CEO Ken Peterman was terminated for cause and John Ratigan became interim CEO. Quarterly CEO-transition costs were $2.5 million, principally legal expenses. The filing notes a preliminary legal matter related to the former CEO’s termination.
  • The PST product-line divestiture closed in November 2023 for cash consideration, with potential contingent consideration of up to $5 million. The company recorded a $2.0 million estimated nine-month gain and recognized a $3.3 million receivable for contingent consideration.
  • Series B preferred stock carries cumulative dividends, ranks senior to common stock, is convertible at $7.99 per share and includes specified investor consent and redemption rights. Its carrying value was $170.3 million at April 30, 2024. A June 2024 exchange replaced it with Series B-1 preferred stock and changed certain rights.
  • Management reported disclosure controls were effective at quarter-end and no material change in internal control over financial reporting during the quarter.

Most important facts for investors to verify

  • Whether Comtech can generate positive operating cash flow and reduce working capital, particularly unbilled receivables.
  • Compliance with the new facility’s covenants, actual borrowing costs, available revolver capacity and liquidity following funding.
  • Whether the fourth-quarter outlook is achieved and whether bookings convert into sales; monitor funded backlog and book-to-bill trends.
  • The dilution, dividend accrual and potential redemption or governance effects of preferred stock and lender warrants.
  • Whether the Massachusetts contract proceeds as expected, including funding, implementation and any renewal-option assumptions.
  • Potential additional impairment, legal, tax or restructuring charges, and the status of the company’s going-concern assessment.
