Financial position and liquidity

- Long-term debt was $10.0 million, compared with no debt at year-end 2023. The March 2024 loan agreement provided a $25.0 million undrawn credit line available through March 31, 2025.
- The term loan carries a floating rate of the greater of prime plus 0.25% or 6.00%; its reported effective rate was 9.03%. It is interest-only through November 2025, subject to a possible extension, and matures November 1, 2028. It is secured by substantially all assets subject to exceptions and includes restrictive covenants.
- Cash and cash equivalents declined $15.9 million during the quarter. Investing activities used $19.7 million, including $9.2 million of property and equipment purchases; financing provided $10.6 million, principally from the term loan.
Changes, outlook and key risks
- Drivers and costs: DecisionDx-SCC revenue benefited from a higher Medicare rate beginning July 2023; TissueCypher and IDgenetix also contributed to non-dermatologic growth. Operating expenses rose 6.6% to $78.4 million, versus revenue growth of 73.6%. Cost of sales increased 36.5%; R&D declined 4.1%; SG&A rose 3.7%.
- Liquidity outlook: Management believes cash, marketable securities and anticipated product revenue will fund operations for at least 12 months after issuance of the financial statements. The company cautions that assumptions may prove wrong and says future funding needs depend on growth, reimbursement, development and other factors. No specific quarterly or annual revenue or earnings guidance is provided.
- Development plans: Castle expects R&D spending to increase as it advances pipeline programs. A prospective inflammatory skin-disease study had more than 44 active sites and over 1,100 enrolled patients; a potential test launch by the end of 2025 is conditional on successful validation.
- Reimbursement exposure: Medicare represented 49% of Q1 revenue. Proposed Medicare coverage determinations for DecisionDx-SCC recommend noncoverage in certain jurisdictions; the company says timing and final outcomes are uncertain. Coverage and reimbursement decisions can affect revenue materially.
- Government inquiry: The HHS Office of Inspector General subpoenaed records concerning federal healthcare program claims and provider interactions for January 2015 through February 2024. Castle says it is cooperating; no claim has been made, and potential loss cannot be reasonably estimated.
- Contingent consideration: Up to $20.0 million could be payable for remaining 2024 AltheaDx commercial milestones; no amount was due based on milestones achieved as of March 31, and the recorded fair value was zero.
- Capital spending and unusual cash timing: Castle purchased approximately 23 acres for a future headquarters for $7.2 million. Q1 operating cash use included $20.8 million of annual bonuses and certain benefit payments, which management said are not expected to recur during the rest of 2024.
- Other risks: The company reports recurring historical losses and negative operating cash flows. It also cites reimbursement, test adoption, clinical validation, competition, macroeconomic conditions, potential financing needs and debt covenants as risks. Management reported disclosure controls were effective and no material Q1 change in internal control over financial reporting.
