eBay Inc. 2020 Form 10-K Summary
Reporting period: Fiscal year ended December 31, 2020; quarterly comparisons below are for the quarter ended December 31, 2020. Financial amounts are in U.S. dollars.
Business context
eBay operates a global Marketplace connecting buyers and sellers. At year-end, it reported 185 million active buyers, more than 19 million sellers and approximately 1.6 billion live listings. In 2020 it generated $100.0 billion of gross merchandise volume (GMV), approximately 62% outside the U.S.
The reported continuing business reflects Marketplace. StubHub was sold in February 2020, and Classifieds was classified as discontinued operations and held for sale following the announced transfer agreement with Adevinta.

- Revenue increased 19% year over year; FX-neutral revenue increased 20%. GMV rose 17% to $100.0 billion, while transaction take rate increased to 9.30% from 8.86%.
- Operating margin increased to 26.4% from 21.6%. Gross margin was approximately 76.0%, versus 75.3%.
- Net income was $5.667 billion, including $3.125 billion of income from discontinued operations. The latter included a $3.868 billion pretax gain on the StubHub sale; it should not be treated as recurring Marketplace earnings.
- Net transaction revenue rose 23% to $9.300 billion, supported by GMV growth, managed payments and promoted listings. Marketing services and other revenue declined 8% to $971 million, primarily reflecting the shift toward promoted listings and the prior sale of brands4friends.
- For Q4 2020, revenue was $2.868 billion, up about 28% from $2.236 billion a year earlier. Income from continuing operations was $781 million, compared with $469 million.
- Year-end cash, cash equivalents and non-equity investments for continuing operations totaled $4.1 billion; working capital for continuing operations was $2.452 billion. The company reported $2 billion available under its revolving credit facility, no commercial paper outstanding, and compliance with debt covenants.
- eBay repurchased $5.1 billion of shares and paid $447 million in dividends during 2020. It issued $1.8 billion of senior notes and repaid approximately $1.8 billion of debt.
Material changes and unusual items
- COVID-19 restrictions and changed shopping behavior contributed to improved Marketplace traffic, buyer acquisition and small-business seller acquisition. Management cautioned that the persistence of these changes was uncertain.
- The StubHub sale generated approximately $4.1 billion in proceeds before tax effects and a $3.9 billion pretax gain. Its results are presented as discontinued operations.
- The pending Classifieds transfer was valued at approximately $9.2 billion at the agreement-date share price, comprising $2.5 billion cash, subject to adjustments, and about 540 million Adevinta shares. The transaction had not closed as of the filing.
- Interest and other, net included a $770 million gain from the Adyen warrant’s fair-value change and a $239 million upward adjustment to eBay’s Kakao Bank investment. These items contributed to the increase in continuing pretax income.
- The effective tax rate rose to 25.7% from 13.3%, primarily due to tax-rate changes and tax effects related to the StubHub gain, partly offset by other tax items.
Outlook, risks and contingencies
The filing provides no specific full-year financial guidance. Management said it expected to intermediate payments for the majority of sellers in 2021 and complete the payments rollout by 2022. Expansion into France, Italy and Spain was planned for the first quarter of 2021. The company expected the Classifieds transfer to close by the end of that quarter, subject to regulatory approvals and customary conditions.
Key risks include intense e-commerce competition; uncertainty over post-pandemic shopping trends; execution, compliance and fraud risks as managed payments expands; foreign-exchange exposure; cybersecurity, privacy and platform availability; changing tax and other regulations; and litigation. The company also cited substantial indebtedness, although it reported adequate liquidity and covenant compliance. It said probable legal and regulatory accruals were not material at year-end, while emphasizing that outcomes remain uncertain. The auditor issued an unqualified opinion and concluded internal control over financial reporting was effective.
