ELUTIA INC. annual report, FY2023

Elutia Inc. — 2023 Form 10-K

Reporting period: Fiscal year ended December 31, 2023; the filing was signed March 11, 2024. Although the request references 2023 Q4, this 10-K reports full-year results and does not provide a clear standalone fourth-quarter income statement.

Business context

Elutia is a commercial-stage regenerative-medicine company selling biologic products for implantable-device protection, women’s health and cardiovascular applications. Its key products include CanGaroo, SimpliDerm and cardiovascular patches. On November 8, 2023, the company sold substantially all assets of its Orthobiologics business to Berkeley Biologics for approximately $14.6 million, with potential earn-outs of up to $20 million over five years and a $1.5 million indemnity holdback. The divested business is reported as discontinued operations.

Sales by continuing product group were Device Protection $9.4 million (+3.4%), Women’s Health $10.3 million (+37.9%) and Cardiovascular $5.0 million (−30.8%). The cardiovascular decline reflected sales to LeMaitre Vascular at distributor prices rather than prior end-user prices. Women’s Health growth was attributed to volume.

Year-end current assets were $31.3 million versus current liabilities of $43.0 million, a working-capital deficit of approximately $11.8 million. Total liabilities were $82.0 million and stockholders’ deficit was $38.6 million. Long-term debt had a net carrying value of $23.7 million ($24.5 million principal); weighted-average interest was 13.2% in 2023. Scheduled principal amortization was to begin November 15, 2024, subject to possible extension and revenue-based caps. The company reported compliance with debt covenants at year-end.

Elutia recorded a $12.8 million warrant liability at year-end; warrant remeasurement and related offering costs contributed to 2023 other expense. Cash used in operations remained high. The company disclosed substantial doubt about its ability to continue as a going concern within one year after issuance of the financial statements. It said existing cash, expected operating cash flows and possible financing or asset transactions may not be sufficient to fund anticipated needs. Of year-end cash, $18.6 million was held above federally insured limits at one financial institution.

Material changes versus 2022

  • Continuing sales rose 3.8%, but gross margin fell 4.1 percentage points, partly reflecting the LeMaitre distribution arrangement and higher cost of goods sold.
  • Sales and marketing expense fell 26.7%, general and administrative expense fell 12.1%, and research and development expense fell 43.1%; management cited workforce reductions, lower insurance and certain prior-year costs, and lower CanGarooRM development spending as it advanced.
  • FiberCel litigation costs increased 92.1% to $10.0 million, driven by case evaluations and legal defense costs. Interest expense rose to $5.8 million from $5.1 million.
  • Net loss widened despite lower operating expenses, due principally to higher litigation costs and a $4.9 million other expense in 2023, versus $4.2 million of other income in 2022. The 2023 result also included a gain on the Orthobiologics sale in discontinued operations.
  • The September 2023 private placement generated approximately $10.5 million gross proceeds and issued common shares and warrants, increasing potential dilution; the warrants were classified as liabilities.

Outlook, risks and unusual items

  • Outlook: No quantified revenue or earnings guidance is provided. Management expects continuing losses and cash outflows for the foreseeable future and says it may need additional capital. It anticipated an FDA decision on CanGarooRM in the first half of 2024 and was preparing for a potential launch. FDA clearance is uncertain; the prior 510(k) submission received a Not Substantially Equivalent letter in March 2023, and the company submitted a revised notification in December 2023.
  • Ligand obligation: The company owes Ligand 5% of sales of specified products through May 31, 2027. A January 2024 amendment increased minimum annual payments from $2.75 million to $4.4 million, set payments for 2023 royalty obligations, and waived a $5.0 million milestone payment. The amendment’s accounting impact was to be reflected in first-quarter 2024 statements.
  • Recalls and litigation: For FiberCel, 29 claims had been settled for approximately $9.1 million; 80 remained unsettled at year-end. Elutia accrued $15.0 million for those cases and recorded $2.7 million of related insurance receivables. Management said further losses above the accrual were reasonably possible but could not estimate a range. For the 2023 VBM recall, two lawsuits and 15 claims were outstanding; no probable liability was accrued because losses could not be estimated. Berkeley did not assume recall-related liabilities.
  • Commercial and supply risks: Sientra filed for Chapter 11 bankruptcy in February 2024; it continued distributing SimpliDerm, but contract continuity after a sale of its business was uncertain. Berkeley is the sole SimpliDerm supplier, while Cook Biotech is the sole porcine-tissue supplier for CanGaroo and cardiovascular products. Cook Biotech was acquired by RTI Surgical in February 2024; Elutia did not expect an immediate supply-agreement impact.
  • International markets: More than 97% of 2023 net sales were U.S.-based. The company planned to cease most international product sales after May 2024 and not maintain its EU CE mark after May 23, 2024; it also did not plan to seek UKCA certification in the near future.
  • Other: The business has seasonal sales patterns, typically stronger in the fourth quarter and weaker in the first. FiberCel and VBM recall-related exposure, FDA clearance, financing needs, debt covenants, partner dependence, reimbursement, competition and single-source supply are material risks. Management assessed disclosure controls and internal control over financial reporting as effective at December 31, 2023; the auditor did not provide an internal-control attestation.

Important facts for investors to verify

  • Near-term cash runway, funding plans and the company’s progress in addressing the disclosed going-concern doubt.
  • CanGarooRM FDA review status, any additional data requests, clearance timing and commercial launch economics.
  • FiberCel settlement outcomes and defense costs versus the $15.0 million accrual and remaining insurance; developments in VBM claims and coverage.
  • Cash payments and covenant headroom under the SWK loan, and the higher Ligand minimum payments under the January 2024 amendment.
  • Whether Berkeley earn-outs and the holdback are ultimately realized, and whether SimpliDerm supply and distribution remain secure following Sientra’s bankruptcy.
  • Sales, margins and customer adoption after the Orthobiologics divestiture, including the effect of LeMaitre’s distributor pricing and the planned reduction in international sales.
