Evolus, Inc. — Q1 2024 Form 10-Q
Reporting period: Three months ended March 31, 2024. Comparisons are with the three months ended March 31, 2023, unless stated otherwise. Amounts are in U.S. dollars.
Business context
Evolus is a performance beauty company focused on cash-pay aesthetics. Jeuveau, its botulinum toxin product, is its only commercially available product and currently generates all net revenue. Evolus also holds exclusive U.S. and European commercialization rights to Symatese’s Evolysse dermal filler candidates; regulatory approval and commercialization are not assured.
Financial performance
| Metric | Q1 2024 | Q1 2023 |
|---|---|---|
| Total net revenue | $59.3 million | $41.7 million |
| Gross profit | $40.5 million | $28.8 million |
| Gross margin | 68.3% | 69.1% |
| Loss from operations | $8.9 million | $12.0 million |
| Net loss | $13.1 million | $14.8 million |
| Operating cash flow | $(10.6) million | $(20.6) million |
- Revenue increased 42.2%, primarily on higher Jeuveau sales volume. Product revenue was $59.0 million; Canadian distribution-partner service revenue was $0.4 million.
- Product cost of sales rose 49.6% to $18.1 million, mainly with higher sales volume. Gross margin declined 0.8 percentage points; management cited Medytox royalties, promotional and pricing programs, and international expansion as factors affecting margin.
- Selling, general and administrative expense increased 20.6% to $45.1 million, primarily due to personnel costs for commercial activities. Research and development expense rose to $2.1 million from $1.4 million.
- Interest expense increased to $4.7 million from $2.8 million, principally reflecting the Pharmakon borrowings. Interest income was $0.5 million. Basic and diluted loss per share was $0.22, versus $0.26.
Liquidity, debt and capital
- At March 31, 2024, cash and cash equivalents were $97.0 million, working capital was $103.5 million, total assets were $226.2 million, and stockholders’ equity was $18.4 million. Accumulated deficit was $572.1 million.
- Cash increased $34.1 million during the quarter: operating activities used $10.6 million, investing activities used $0.8 million, and financing activities provided $45.7 million. The financing inflow largely reflects the March follow-on offering.
- The offering issued 3.554 million shares at $14.07 per share and generated $46.8 million net proceeds. In April, underwriters exercised an option for 318,100 additional shares, generating $4.2 million net proceeds. The shares outstanding at March 31 were 62.274 million.
- Pharmakon term loans had $125.0 million principal outstanding and a $120.6 million carrying value net of discount and issuance costs. Interest is variable at three-month SOFR, subject to a 1% floor, plus 8.5%; the stated effective rates were approximately 15.27% and 13.94% for the first and second tranches. Interest-only payments continue until March 2026, followed by scheduled principal payments; maturity is in 2027. The debt is secured by substantially all company assets. Evolus reported compliance with covenants and no minimum cash covenant.
- Management believes current resources are sufficient for at least the next 12 months, while expecting operating losses and negative operating cash flows to continue. It may need additional capital for longer-term needs or corporate development; financing may not be available on acceptable terms.
Changes, outlook and notable matters
- Management expects Jeuveau growth to depend on customer acquisition, increased purchases from existing customers, international expansion and competition in the aesthetic market. It expects continued significant spending on marketing, international launches and Evolysse development.
- Management anticipated Evolysse approvals in Europe in the second half of 2024 and in the United States beginning in 2025. The filing also describes anticipated approval timing for individual products; timelines depend on Symatese and regulators and could be delayed.
- Future contractual cash demands include variable-rate debt interest, Jeuveau royalties to Medytox through September 2032, low-single-digit royalties to the Evolus Founders through the second quarter of 2029, and conditional Symatese milestones and purchase commitments. Future interest payments were estimated at approximately $56.2 million, including $17.7 million due within 12 months.
- Two shareholder-related matters remain unresolved: a securities class action and consolidated derivative litigation. Management cannot reasonably estimate a loss range. The derivative action is stayed pending the securities case; no amounts were accrued for these matters.
- Key risks include reliance on one commercial product, sole-source Jeuveau manufacturing by Daewoong, Medytox settlement compliance and royalties, Evolysse regulatory and partner dependence, competition, discretionary consumer spending, inflation, variable interest rates, and potential need for additional financing. Management stated disclosure controls were effective at a reasonable assurance level and reported no material change in internal control over financial reporting during the quarter.
Important facts for investors to verify
- Whether Jeuveau revenue growth and customer adoption continue, and whether higher sales translate into improved margins and lower cash burn.
- Progress and actual approval timing for Evolysse in Europe and the United States, including Symatese’s regulatory, manufacturing and milestone obligations.
- Cash runway against continuing operating losses, contractual commitments, and possible additional financing needs; consider the dilution from the March and April share issuances.
- Exposure to SOFR-linked borrowing costs, debt repayment beginning in 2026, and compliance with debt covenants.
- Ongoing Medytox royalties and the status and potential financial impact of the shareholder lawsuits; the filing does not provide a clear loss estimate for the litigation.
