Fluent, Inc. — Q1 2024 Form 10-Q
Reporting period: Three months ended March 31, 2024. Unaudited consolidated financial statements; amounts below are in U.S. dollars and generally in millions, except per-share data.
Business context
Fluent provides digital marketing and customer-acquisition services through owned and operated media properties, syndicated marketplaces, and call-center-supported campaigns. AdParlor is its non-core social-media marketing business. Management attributed the quarter’s revenue decline chiefly to weaker media supply for owned properties, advertiser spending pullbacks, macroeconomic conditions, and compliance changes associated with the FTC Consent Order.

Debt and liquidity
At March 31, reported debt, net, was $31.0 and was classified as current. The Citizens credit facility had a $30.0 million principal balance and an interest rate of 9.43% at quarter-end; the company had breached total-leverage and fixed-charge-ratio covenants, with a temporary waiver in place. A separate $2.0 million note related to the Berman settlement bears an initial 16.32% rate.
After quarter-end, on April 2, Fluent refinanced the Citizens facility with an SLR credit facility consisting of a $20.0 million term loan and a revolver of up to $30.0 million. Outstanding principal was $32.7 million at closing; the facility matures in 2029 and opened at an 10.81% interest rate. Borrowing availability under the revolver depends on a borrowing base tied to eligible receivables. The refinancing resulted in an approximately $1.0 million debt-extinguishment loss expected to be recognized in Q2.
Management concluded that substantial doubt exists about Fluent’s ability to continue as a going concern for one year after the filing’s issuance. It cited deteriorating operating results, possible future covenant noncompliance, and the risk that lower receivables could restrict revolver availability or require repayment. On May 13, the company raised $10.0 million gross through pre-funded warrants, subject to stockholder approval to exercise. A May 15 SLR amendment waived specified prepayments from those proceeds and also changed availability requirements, required retention of a financial adviser, and amended borrowing-base terms. Management stated its plans may not be sufficient or successfully implemented.
Material changes, outlook, and risks
- Revenue trends: Owned-and-operated marketplace challenges continued into Q2, with further sequential revenue retractions reported. Management expects Q2 to remain affected by slow economic conditions and media-supply uncertainty. Growth in newer syndicated marketplaces partly offset Q1 declines.
- Operating response: Fluent reduced its workforce by 20 employees in Q1 2024 and recorded $0.7 million of related restructuring costs, expected to be paid by September 30, 2024. Management said it may pursue further cost reductions and asset or business-unit sales.
- Subsequent divestiture: On May 1, Fluent agreed to sell True North Loyalty for deemed consideration of approximately $1.1 million, including forgiveness of a $0.5 million deferred payment and contingent contribution-margin receipts. The company was evaluating the transaction’s financial impact.
- Regulatory and legal matters: The FTC Consent Order imposed a $2.5 million civil penalty and ongoing compliance requirements affecting the company’s marketplace and advertising practices. The Berman TCPA settlement received final approval in February 2024; Fluent paid $1.1 million and issued a $2.0 million interest-bearing note toward its obligation.
- Concentration and operating risks: Customers in Israel accounted for 23% of Q1 revenue; one international customer represented 10% of consolidated revenue. The filing cites dependence on traffic sources, algorithm changes, advertiser demand, regulatory scrutiny, and macroeconomic conditions.
- Capital and listing: A 1-for-6 reverse stock split took effect April 11, 2024. The warrant placement could materially increase shares outstanding if approved and exercised. The company identifies Nasdaq minimum-bid-price compliance as a risk.
- Disclosure controls: Management concluded disclosure controls and procedures were effective as of March 31, 2024; it reported no material Q1 change in internal control over financial reporting.
The filing contains differing descriptions of covenant projections: the going-concern discussion says revised projections indicate covenant noncompliance in the coming quarters, while a later risk-factor passage says the company expects compliance if projections are met and warns of noncompliance if they are not. The filing also says results were trending below forecast. Investors should clarify the current forecast and covenant headroom directly from subsequent disclosures.
