Genenta Science S.p.A. — FY2022 Form 20-F
Reporting period: Fiscal year ended December 31, 2022. This is an annual report, not a standalone 2022 fourth-quarter report. Financial statements are audited and prepared under U.S. GAAP in euros. The filing was signed April 21, 2023.
Business context
Genenta is an Italian clinical-stage biotechnology company developing autologous ex-vivo gene therapies for solid tumors. Its lead candidate, Temferon, is being studied in a Phase 1/2a trial for newly diagnosed glioblastoma with an unmethylated MGMT promoter. The company has no approved products and has generated no product-sales revenue.
Key financial metrics
| Metric | FY2022 | FY2021 |
|---|---|---|
| Revenue from product sales | None | None |
| Research and development expense | €5.34 million | €3.39 million |
| General and administrative expense | €5.71 million | €2.30 million |
| Total operating expenses / operating loss | €11.04 million | €5.69 million |
| Net loss | €8.48 million | €5.53 million |
| Net loss per share, basic and diluted | €0.47 | €0.37 |
| Net cash used in operating activities | €7.42 million | €6.96 million |
| Cash and cash equivalents at year-end | €29.79 million | €37.24 million |
Gross margin and operating margin are not meaningful because the company had no product revenue. FY2022 net loss included €2.29 million of net foreign-exchange gains, compared with no material net exchange gain in FY2021; this substantially offset operating expenses. Operating expenses rose about 94%, principally from higher R&D manufacturing and compensation costs, increased management and board compensation, D&O insurance, and legal and audit fees.
Total assets were €33.44 million and total current liabilities were €2.18 million at year-end. The filing reports no material borrowing balance; liabilities were largely payables, accruals, employee benefits and lease-related obligations. Cash flow from investing was a €27,070 outflow, and there was no financing cash flow in 2022. The 2021 financing inflow largely reflected IPO proceeds. Accumulated deficit was €35.47 million.
Liquidity and capital resources
Management estimated that year-end cash would fund operations and capital expenditures through 2024, while the financial-statement note says cash was expected to fund current planned operations for at least 12 months from the financial statements’ filing date. Both estimates depend on assumptions; the company cautioned it could use cash sooner than expected. Genenta expects to need additional capital for longer-term plans and warns financing may be unavailable or dilutive. It has never paid dividends and does not expect to do so in the foreseeable future.
Clinical progress, outlook and risks
- Temferon trial: As of March 6, 2023, 19 patients had been dosed. The company reported no dose-limiting toxicities to date and preliminary evidence of engineered-cell persistence and biological activity. These early, uncontrolled findings are not proof of efficacy. Nine deaths had been reported: seven attributed to disease progression and two considered by the investigator unrelated to Temferon but possibly associated with conditioning-regimen or steroid complications.
- Plans: Genenta anticipated completing enrollment and dosing in the Phase 1/2a study by Q1 2024 and intended to submit a European Phase 2 CTA by Q1 2024. It was considering liver cancer and other solid-tumor indications; no clear launch or revenue guidance was provided.
- Funding and development risks: The company expects continuing losses and substantial R&D spending. Clinical success, regulatory approvals, patient enrollment, manufacturing scale-up and future financing are uncertain. It relies heavily on third parties, including OSR and contract manufacturer AGC Biologics, and disclosed supplier, manufacturing and single-facility risks.
- License and contingent obligations: OSR license terms include potential milestone payments of up to €53 million for each solid-cancer indication, plus royalties and other obligations. In March 2023, Genenta signed an amended and restated OSR license to broaden solid-tumor rights; it was not yet effective pending Italian Golden Power clearance. The existing license also includes development obligations, including a U.S. Phase III GBM trial deadline tied to July 2025.
- Controls and reporting: Management concluded disclosure controls and internal control over financial reporting were ineffective at year-end due to material weaknesses involving staffing, timely processing, complex transactions, segregation of duties and documentation. Remediation included hiring finance staff and implementing a cloud-based ERP, but effectiveness had not yet been demonstrated over sustained reporting cycles. The 2022 auditor was changed from Mayer Hoffman McCann to Dannible & McKee; the filing reports no disagreements or reportable events.
- Other risks: Gene-therapy safety, long-term follow-up, regulatory uncertainty, competition, intellectual-property dependence, foreign-exchange exposure and potential dilution are significant risks. The €2.29 million currency gain was unusual and the company does not hedge foreign-exchange risk.
Important facts for investors to verify
- Whether actual cash use and clinical spending remain consistent with management’s stated runway through 2024, and what financing may be required.
- Updated Temferon enrollment, safety, survival and efficacy data, including follow-up on reported deaths and adverse events.
- Progress and regulatory status of the planned Phase 2 study, U.S. development plans and the OSR license amendment’s government clearance.
- Whether the internal-control remediation is completed and independently validated, and whether reporting controls improve in subsequent filings.
- Future manufacturing capacity, supplier continuity, and any changes to milestone obligations, licensing rights or related-party costs.
