GSI Technology, Inc. — FY2022 Form 10-K
Reporting period: Fiscal year ended March 31, 2022, compared primarily with fiscal 2021. Although the request metadata says “2021 Q4,” this filing is an annual report for FY2022, not a quarterly filing.
Business context
GSI designs and sells high-speed SRAM, principally for networking, telecommunications, defense and aerospace customers. It is also developing associative processing unit (APU) products for AI and high-performance computing applications such as similarity search. SRAM remained the dominant business, representing about 97% of FY2022 revenue; APU sales had not yet become material, and the company reported no SaaS revenue.

Changes versus FY2021
- Revenue rose 20.4%; units shipped increased 5.7% and average selling price increased 12.3%.
- Gross margin improved 7.8 percentage points, attributed mainly to product and customer mix and partly to a 20% price increase effective December 2021.
- Net loss narrowed by about $5.1 million, while operating expenses increased slightly. SG&A fell partly because the MikaMonu contingent-consideration liability was remeasured downward by $1.6 million.
- Operating cash use improved by about $1.4 million but remained substantial. Cash and cash equivalents declined by $7.3 million year over year.
- Nokia-related sales fell from approximately $10.9 million to $9.6 million; Nokia represented about 29% of revenue versus 39% in FY2021.
Outlook, commentary and risks
- Management said existing liquidity and expected operating cash flows should cover working capital and capital expenditures for at least 12 months; it did not provide specific revenue or earnings guidance. It also said no additional cash infusion was currently expected.
- Management expected supply-chain constraints and higher manufacturing costs to persist, with no significant relief expected before the end of calendar 2022. Wafer costs had risen 20%; management cited price increases to customers as a partial offset.
- APU commercialization remains a key execution risk. Management planned to release a second compiler-stack version in July 2022, prepare an OpenSearch offering for AWS Marketplace in FY2023, and pursue APU and radiation-hardened SRAM opportunities. A proof-of-concept SAR order and prototype shipments were described, but material APU revenue was not yet established.
- Customer concentration is significant: Nokia accounted for about 29% of revenue, while Avnet Logistics accounted for 38% as a distributor. Orders are generally purchase-order based and can be canceled or deferred; the company has no long-term supply agreement with its principal wafer supplier, TSMC.
- Other material risks include COVID-19 and geopolitical/economic uncertainty, Taiwan supply and political exposure, rising costs, cyclical and declining external SRAM demand, competition, and the possibility of future impairment of APU-related intangible assets or goodwill.
- The company reported a material weakness in controls over forecasts used to value contingent consideration and test intangible-asset recoverability. Management corrected a related contingent-consideration misstatement before issuance and described remediation steps. Management found internal controls ineffective, and the auditor issued an adverse opinion on internal control, while giving an unqualified opinion on the financial statements.
- The $2.7 million contingent-consideration liability relates to the MikaMonu acquisition and depends on product milestones and revenue targets. The company also recorded a full valuation allowance of approximately $16.2 million against deferred tax assets.
Most important facts for investors to verify
- Whether APU products generate meaningful customer adoption and revenue, including progress on the compiler, OpenSearch/AWS offering and SAR programs.
- Whether revenue growth and improved gross margin continue after FY2022 price increases and product-mix changes, particularly amid higher wafer and assembly costs.
- Whether Nokia and distributor concentration, order cancellations, and customer receivable exposure change materially.
- Whether cash burn remains within available liquidity and whether management’s forecast of at least 12 months of funding remains valid.
- Whether the material weakness is remediated and whether forecast assumptions supporting contingent consideration and intangible-asset recoverability remain reasonable.
