Video segment revenue declined 13% to $242.5 million, with operating income of $1.3 million versus $15.8 million. Cable Access revenue rose 9% to $136.3 million, while segment operating income fell to $11.7 million from $22.2 million. The prior-year comparison included $37.5 million of upfront Comcast CableOS license revenue, which benefited 2019 revenue and margins.

FY2020 cash generation included working-capital benefits, notably collections and deferred revenue. Capital expenditures were $32.2 million, largely related to the new headquarters. The company reported no borrowings on its $25 million revolving facility at year-end and was in compliance with its covenants.

Debt, liquidity and balance sheet

At year-end, Harmonic had $98.6 million in cash and $153.2 million principal amount of convertible notes: $37.7 million of 4.375% notes due December 2022 and $115.5 million of 2.00% notes due September 2024. Other debt and finance lease obligations totaled $21.9 million, including $6.7 million in COVID-relief loans. Current assets were $238.0 million and current liabilities $147.3 million. Management said cash on hand was expected to fund principal cash requirements for at least 12 months. Approximately $66.7 million of cash was held outside the U.S.; repatriation could incur taxes.

Changes, outlook and risks

  • Management attributed Video weakness and some Cable Access deployment delays in the first half to COVID-19; activity and deployments improved in the third and fourth quarters as restrictions eased and customers adapted. The pandemic’s continuing effects remained uncertain.
  • Management’s strategy centers on streaming, cloud/SaaS video workflows and CableOS virtualization. It cited CableOS customer deployments, field trials and engagements as progress, but gave no numerical revenue or earnings guidance in the supplied filing text.
  • Backlog, including deferred revenue, increased to $290.5 million from $210.2 million. The company cautioned that orders may be delayed or canceled and backlog is not necessarily predictive of future revenue.
  • Key risks include customer and transaction concentration, especially Comcast; industry spending and competitive pressures; long CableOS sales cycles and technology-transition risks; COVID-19 effects; reliance on limited-source components and contract manufacturers; and international, foreign-exchange and cybersecurity risks.
  • The company disclosed a March 2020 OFAC administrative subpoena seeking information about historical transactions involving Iran by acquired Thomson Video Networks; Harmonic said it was cooperating and did not anticipate a material impact. It also described ordinary-course legal matters for which possible losses could not be reasonably estimated. The Avid patent litigation had been settled previously; the final $2.0 million settlement payment was made in 2020.
  • U.S. deferred tax assets remained subject to a full valuation allowance. Goodwill was $243.7 million; the annual impairment test found no impairment. The filing also identifies $49.9 million in purchase commitments and $281.8 million in total contractual obligations.

Investor verification priorities

  1. Assess whether Video revenue and margins can stabilize and whether Cable Access growth can offset continued Video declines, accounting for the unusually large 2019 Comcast license item.
  2. Review Comcast’s deployment pace and the concentration of revenue among the largest customers, alongside the quality and expected timing of the reported backlog.
  3. Reconcile reported operating cash flow with working-capital movements and the elevated 2020 capital spending; monitor cash needs and debt maturities.
  4. Evaluate the implications of convertible-note terms, potential dilution or cash settlement, and the 2022 debt maturity.
  5. Track COVID-19, supply-chain, litigation/OFAC, tax-asset realization and goodwill valuation developments.
