Q3 net product sales increased 14.3% year over year, while nine-month sales increased 18.2%. CINVANTI generated $21.2 million in Q3 sales and $64.2 million in nine-month sales. ZYNRELEF generated $2.7 million in Q3 sales and $6.3 million for the first nine months. SUSTOL sales declined to $2.7 million in Q3 and $7.2 million for the nine months.

Gross margin declined in Q3 primarily because cost of product sales included a $2.0 million write-off, principally for short-dated ZYNRELEF inventory. The nine-month cost of product sales included $4.5 million of similar charges.

As of September 30, 2022, cash and cash equivalents were $50.4 million, short-term investments were $71.3 million, and total liquidity was $121.7 million, compared with $157.6 million at December 31, 2021. Total current assets were $223.8 million and current liabilities were $93.9 million.

Non-current convertible notes payable, net, was $149.2 million. The notes have a 1.5% annual interest rate, mature in May 2026, and had a $150.0 million principal balance at quarter-end. Stockholders’ equity declined to $22.5 million from $77.6 million at year-end, primarily reflecting the year-to-date net loss, partly offset by the August equity financing.

Material Changes Versus Prior Comparable Period

  • Net product sales increased, led by higher CINVANTI sales and a full period of ZYNRELEF commercialization.
  • Research and development expense decreased to $25.5 million in Q3 and $96.4 million for nine months, versus $28.6 million and $101.9 million, respectively, in 2021.
  • Sales and marketing expense decreased in Q3 to $18.4 million from $25.2 million, but increased for the nine-month period to $64.7 million from $62.7 million due largely to ZYNRELEF launch activities.
  • In June 2022, the company implemented a workforce-reduction restructuring expected to cost $5.4 million. It recognized $4.8 million through September 30 and expected to recognize the remainder in Q4 2022; related cash severance payments were expected to be substantially completed in Q1 2023.
  • In August 2022, Heron raised $75.2 million in net proceeds through a private placement of common stock and pre-funded warrants, resulting in substantial dilution.
  • Operating cash burn improved year over year, but the company remained significantly loss-making and cash flow negative.

Guidance, Outlook, Commentary and Risks

Management stated that existing cash, cash equivalents and short-term investments were expected to fund anticipated cash requirements for at least one year from the filing date. This assessment depends materially on the commercial success of the products, including assumptions regarding the market opportunity for ZYNRELEF’s expanded U.S. label.

  • Heron anticipated making ZYNRELEF commercially available in Europe and Canada during the first half of 2023.
  • Key risks include continued operating losses, substantial cash consumption, the need for future financing, potential equity dilution and restrictions under the convertible notes.
  • Product sales depend on market acceptance, pricing and reimbursement, competition, generic entry, sales execution and manufacturing scale-up.
  • Manufacturing and inventory risks are significant; the company relies on third-party manufacturers and recorded material short-dated inventory write-offs.
  • Fresenius Kabi submitted an ANDA seeking approval of a generic CINVANTI product. Heron filed patent-infringement litigation in July 2022. The FDA may be barred from approving the ANDA until the earlier of December 14, 2024 or resolution of the litigation.
  • Additional risks include regulatory approvals and postmarketing requirements, intellectual-property challenges, COVID-19 and geopolitical or supply-chain disruptions, and the uncertain outcome of clinical development.

Most Important Facts to Verify

  • Whether ZYNRELEF sales accelerate sufficiently to support management’s liquidity assumptions and offset ongoing cash burn.
  • The timing, cost and commercial performance of the APONVIE launch and ZYNRELEF launches in Europe and Canada.
  • The outcome and timing of the CINVANTI patent litigation and any potential generic launch.
  • Remaining restructuring costs and the operational impact of the approximately 34% workforce reduction.
  • Inventory aging, future write-offs and gross-margin trends as ZYNRELEF production scales.
  • Future financing requirements, dilution from outstanding warrants and convertible-note conversion exposure.
  • Progress toward profitability, given the $162.2 million nine-month net loss, $109.4 million operating cash burn and $1.8 billion accumulated deficit.
