Hesai Group — FY2023 Form 20-F Summary
Reporting period: Fiscal year ended December 31, 2023. This is an annual filing, not a quarterly report; it does not provide standalone Q4 results. Financial statements are presented under U.S. GAAP. Unless stated otherwise, amounts below are RMB.
Business context and key financial metrics
Hesai develops, manufactures and sells LiDAR products, primarily for advanced driver-assistance systems (ADAS), autonomous mobility and robotics. LiDAR products generated 92.4% of FY2023 revenue. The company reported revenue from approximately 222,100 LiDAR units shipped, versus 80,400 in 2022.

Year-end current assets were RMB4.40 billion and current liabilities RMB1.34 billion. Accounts receivable, net, were RMB524.8 million; the allowance for expected credit losses increased to RMB49.1 million from RMB6.2 million. Inventories declined to RMB495.9 million from RMB646.9 million. Capital expenditures were RMB406.7 million. R&D expense was RMB790.5 million, or 42.1% of revenue.
Material changes versus prior period
- Revenue growth reflected higher LiDAR shipments, while average selling price per shipped unit fell from about US$2,000 in 2022 to about US$1,100 in 2023, mainly due to product mix shifting toward lower-priced products.
- Gross margin declined as lower-priced ADAS LiDAR shipments increased and costs rose. Cost of revenue increased 66.4%, faster than revenue growth of 56.1%.
- Operating cash flow turned positive from a large outflow in 2022, supported in part by a RMB146.0 million inventory reduction. The company remained loss-making.
- Share-based compensation increased to RMB234.6 million from RMB105.2 million, including expense associated with the IPO. FY2023 loss per share was RMB3.81, compared with RMB6.47 in 2022; the 2022 figure included a substantial deemed dividend, so it is not directly comparable to net loss.
- Hesai disposed of Oxigraf, Inc. in November 2023 for US$3.7 million and recorded a RMB6.1 million gain. It also acquired a Swiss company in December, including patent rights valued at RMB59.4 million.
Outlook, risks and unusual items
- Management outlook: The filing gives no numerical revenue or earnings guidance. Management said available cash, short-term investments and IPO proceeds should meet anticipated working-capital needs and capital expenditures for at least 12 months. It plans approximately RMB0.7 billion of additional investment in manufacturing capacity.
- Customer and product concentration: The five largest customers generated 67.5% of 2023 revenue. One U.S.-headquartered customer contributed 28.4%, and a China-based new-energy-vehicle manufacturer contributed 25.6%. AT128 represented 37.8% of revenue and Pandar128 22.5%.
- Operating and market risks: The company cites uncertain LiDAR adoption and commercialization, pricing pressure, manufacturing ramp-up and utilization, product reliability and warranty exposure, and dependence on suppliers and customers. U.S. exports are subject to a 25% Section 301 tariff, according to the filing.
- Regulatory and geopolitical exposure: Hesai is a Cayman Islands holding company with most operations in mainland China; the filing warns of evolving PRC oversight, cross-border capital and currency restrictions, and potential overseas-listing requirements. The U.S. Department of Defense added Hesai to its Chinese military companies list in January 2024; the company says it is challenging the inclusion.
- Litigation: A putative securities class action related to the IPO and arbitration with Ouster over patent allegations remained unresolved; the filing says outcomes and potential losses could not be estimated. The earlier Velodyne litigation was settled under a cross-license and royalty arrangement; 2023 royalty expense was RMB35.3 million.
- Controls: Management concluded disclosure controls and internal control over financial reporting were ineffective at December 31, 2023, due to a material weakness involving insufficient personnel with U.S. GAAP reporting expertise. Remediation was underway but had not been sufficiently tested.
- Other items: Share-based compensation of RMB234.6 million materially affected reported expenses. The company reported no cash dividends paid and does not expect to pay them in the foreseeable future.

- Progress in remediating the internal-control material weakness and whether the controls become effective.
- Developments in the Ouster arbitration, IPO-related securities lawsuit and U.S. government listing challenge, as well as related commercial or regulatory consequences.
- Access to and transferability of cash held in mainland China, and any additional PRC approvals or filings required for future financing or distributions.
