  • Q3 revenue rose 22%; nine-month revenue rose 30%. Growth was primarily from catch-up royalties, including Lenovo-related agreements. Recurring revenue grew 3% in Q3 and 2% year to date; smartphone recurring revenue was nearly flat year to date, while CE, IoT and automotive grew 17%.
  • Catch-up revenue was $35.6 million in Q3 and $138.9 million year to date, versus $13.7 million and $40.5 million in the comparable 2022 periods. It comprises past patent royalties and revenue from static agreements.
  • Operating expenses increased 4% in Q3 and 8% year to date. Nine-month expense growth included higher share-based compensation, litigation-fee reimbursement, deferred-compensation valuation changes and a $2.5 million patent impairment; these were partly offset by lower enforcement and restructuring costs.
  • Higher investment income and gains contributed to other income: nine-month interest and investment income was $33.7 million, and other income included net investment fair-value gains. Results also included a $6.1 million Q3 gain from an observable price change in a strategic investment. Q3 included $5.1 million of one-time supplemental compensation costs tied to licensing success.

Cash, liquidity and debt

  • At September 30, cash and cash equivalents were $518.5 million, restricted cash $7.2 million and short-term investments $565.4 million. Combined liquidity was $1.091 billion, down $120.3 million from year-end 2022.
  • Nine-month operating cash flow improved by $307.8 million year over year, mainly due to receipts from the Lenovo UK proceedings, the Lenovo HEVC license and other new agreements, and timing of collections. Investing activities used $74.3 million and financing activities used $340.5 million, including $302.7 million of share repurchases and $29.1 million of dividends paid.
  • Debt carrying value was approximately $611.3 million: $460.0 million principal of 3.50% convertible notes due 2027 and $126.2 million principal of 2.00% notes due June 2024, net of financing costs. The 2024 notes are classified as current. A separate Technicolor-related contingent-revenue obligation had a $33.1 million carrying value.
  • Deferred revenue totaled $422.7 million. The company expects to amortize $167.6 million over the next 12 months. It also reported $1.623 billion of estimated revenue over the terms of signed and committed dynamic fixed-fee contracts; estimates include Samsung arbitration and Lenovo UK proceedings and are subject to revenue-recognition constraints.

Material developments, outlook and risks

  • InterDigital signed a multi-year worldwide Lenovo HEVC patent license in Q3, resolving related HEVC litigation; the company recognized $40.8 million of Lenovo revenue in the quarter. The UK court’s Lenovo cellular license award totaled $184.9 million and was paid in July; appeals remain pending.
  • The company announced an increase in its quarterly dividend from $0.35 to $0.40 per share beginning with the Q4 2023 payment. It repurchased 653,020 shares during Q3 for an average $86.49 per share; after quarter-end, it repurchased another 0.3 million shares for $21.9 million. Management reported $79.9 million remaining under the authorization at October 31.
  • Management said available liquidity and expected operating cash flows should fund operations, capital needs, debt obligations, dividends, repurchases and contractual obligations in both the next 12 months and longer term. No specific earnings or revenue guidance was provided.
  • Key exposures include ongoing patent, antitrust and FRAND disputes, including Lenovo proceedings in the UK, U.S. and China; the Samsung license arbitration, expected to resolve in late 2024; and disputes involving Oppo and affiliates. Outcomes, timing, licensing terms and associated legal costs are uncertain. The company stated that the listed proceedings had not met the criteria for accrual or disclosure of a potential loss range as of September 30, except as otherwise noted.
  • Management said macroeconomic and geopolitical conditions had not materially affected the business to date, but worsening inflation, interest rates, supply-chain conditions, recession risk or international conflicts could adversely affect results. International operations also expose the company to foreign legal, regulatory, currency and collection risks.
  • In October 2023, Convida Wireless appointed its own operating leader; InterDigital expects to deconsolidate the venture in Q4 2023.

Most important facts for investors to verify

  • How much of revenue and cash generation depends on catch-up royalties, large licensees and the timing of fixed-fee collections; four customers represented 71% of receivables at quarter-end.
  • Progress, timing and financial effects of the Lenovo and Samsung proceedings, and whether contract-revenue estimates or court outcomes change.
  • Ability to manage the June 2024 convertible-note maturity and other debt obligations while continuing dividends and share repurchases.
  • Sustainability of recurring royalty revenue and margins after unusually high catch-up revenue and investment gains.
  • Potential effects of litigation costs, international risks, foreign-exchange movements and the expected Convida deconsolidation.
