Revenue growth primarily reflected Ironwood’s share of U.S. LINZESS net profits, API shipments to partners, an Almirall commercial-launch milestone, higher Astellas deferred-revenue recognition, and modestly higher collaboration and royalty revenue. The company recorded no collaboration expense in Q1 2014, compared with $24.7 million in Q1 2013. Despite lower expenses and losses, Ironwood remained unprofitable; conventional positive operating margins were not present.
Financial position and liquidity
- Cash and cash equivalents were $205.1 million at March 31, 2014; available-for-sale securities were $127.1 million. Together, unrestricted cash, cash equivalents and securities were approximately $332.3 million, versus $197.6 million at year-end 2013.
- Current assets were $371.3 million and current liabilities $38.5 million. Total assets were $418.9 million; stockholders’ equity was $188.9 million.
- Notes payable had a $174.7 million carrying amount, including $4.4 million classified as current; stated principal was $175 million. The notes bear 11% annual interest and mature on or before June 15, 2024. Payments are linked to U.S. LINZESS sales, subject to a minimum interest payment; Ironwood may need to cover any payment shortfall from general funds.
- Ironwood raised approximately $190.4 million net from a February 2014 public offering of 15.8 million Class A shares. Q1 financing cash flow was $194.0 million, mainly from that offering. Cash and cash equivalents ended the quarter at $205.1 million.
- Management said available cash was expected to fund projected operating needs for at least the next 12 months, while noting this estimate depends on uncertain assumptions. The company expected substantial expenses and net losses to continue for the foreseeable future.
Material developments, outlook and risks
- Ironwood reduced headcount by approximately 10%, excluding its field sales and medical science liaison teams. It recorded $4.3 million of severance and related charges in Q1 and did not expect significant additional charges; substantially all remaining payments were expected by year-end.
- Almirall planned to suspend CONSTELLA commercialization in Germany in May 2014 after failing to agree on reimbursement pricing. The partner was assessing options to maintain patient access.
- Astellas reported preliminary Phase II Japan results: dose groups had numerically higher responder rates than placebo, but differences were not statistically significant. Linaclotide was reported as well tolerated; analysis and next steps remained pending.
- Forest and Actavis announced a definitive agreement for Actavis to acquire Forest. Ironwood highlighted potential disruption or changes in partner priorities as risks to the collaboration.
- LINZESS commercialization and U.S. partner profit-sharing are central to Ironwood’s prospects. Key uncertainties include uptake, reimbursement and pricing, competition, safety, regulatory requirements, partner execution, and reliance on third-party manufacturers. The filing also describes required post-approval studies, including pediatric safety and efficacy work.
- Development continued across linaclotide opportunities, a China Phase III trial with AstraZeneca, and other GI and soluble guanylate cyclase programs. The filing gives no specific revenue, earnings, or launch guidance; management said future funding needs depend on commercial performance, development costs and other factors.
- Other obligations include potential substantial development, regulatory and sales milestones under collaboration agreements. No material change in contractual commitments from the 2013 Form 10-K was reported. Management reported effective disclosure controls and no material change in internal control over financial reporting.
